Prepayments of Loans definition

Prepayments of Loans pursuant to this subsection 2.10 shall be made (x) on the first Interest Payment Date(s) next succeeding the date of receipt of the proceeds referred to in clause (i) above and (y) on the first Interest Payment Date(s) next succeeding the date three (3) months after the receipt of the proceeds referred to in clause (ii) above. Partial prepayments pursuant to this subsection 2.10 shall be applied: first, to the prepayment of the Term Loans until the Term Loans shall be paid in full, and second, to the permanent reduction of the Total Revolving Credit Commitment (and, to the extent necessary, to the prepayment of first the Swingline Loans and second the Revolving Credit Loans) until the Total Revolving Credit Commitment is reduced to zero (and the Revolving Credit Loans shall be paid in full). Amounts prepaid on the Loans pursuant to this subsection 2.10 may not be re-borrowed. Each partial prepayment of Term Loans shall be applied to the installments of principal thereof in the reverse order of their scheduled maturities. Each reduction of the Total Revolving Credit Commitment pursuant to this subsection shall automatically and permanently reduce the Swingline Commitment by the same amount.

Examples of Prepayments of Loans in a sentence

  • Prepayments of Loans shall in all cases be applied first to Base Rate Loans and second to Eurodollar Loans.

  • Prepayments of Loans shall be accompanied by accrued interest on the amount repaid.

  • Prepayments of Loans shall be applied first to Base Rate Loans to the full extent thereof before application to LIBOR Rate Loans, in a manner which minimizes the amount of any payments required to be made by Borrower pursuant to subsection 2.6D.

  • Prepayments of Loans shall be applied pro rata among all Loans based upon the respective outstanding principal balances thereof.

Related to Prepayments of Loans

  • Mandatory Prepayments has the meaning given to such term in Section 1.2(b).

  • Term Loans means, collectively, the Tranche A Term Loans and the Tranche B Term Loans.

  • Prepayment means, with respect to any Receivable, any prepayment, whether in part or in full, in respect of such Receivable.

  • Prepayments means any moneys which shall be paid to the Issuer prior to the time such amounts become due. Prepayments shall not include any interest paid on such moneys.

  • Mandatory Prepayment Amount for any Debentures shall equal the sum of (i) the greater of: (A) 130% of the principal amount of Debentures to be prepaid, plus all accrued and unpaid interest thereon, or (B) the principal amount of Debentures to be prepaid, plus all other accrued and unpaid interest hereon, divided by the Conversion Price on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is less, multiplied by the VWAP on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is greater, and (ii) all other amounts, costs, expenses and liquidated damages due in respect of such Debentures.

  • Mandatory Prepayment shall have the meaning set forth in Section 2.1(c).

  • Fixed Rate Loans means Euro-Dollar Loans or Money Market Loans (excluding Money Market LIBOR Loans bearing interest at the Base Rate pursuant to Section 8.01(a)) or any combination of the foregoing.

  • Mandatory Prepayment Date as defined in Section 2.12(e).

  • Term Loan Advances are each defined in Section 2.1.1(a).

  • Refinancing Revolving Loans means one or more Classes of Revolving Loans that result from a Refinancing Amendment.

  • Waivable Mandatory Prepayment shall have the meaning assigned to such term in Section 2.11(e).

  • Term B Loans means (a) the term loans made by the Lenders to the Borrower pursuant to Section 2.01(a), and (b) any Incremental Term Loans in the form of Term B Loans made by the Incremental Term Lenders to the Borrower pursuant to Section 2.01(c).

  • Specified Discount Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Borrower Offer of Specified Discount Prepayment means the offer by any Company Party to make a voluntary prepayment of Term Loans at a Specified Discount to par pursuant to Section 2.05(a)(v)(B).

  • Canadian Loans means, individually and collectively as the context may require, the Canadian Revolving Loans, the Canadian Swingline Loans, the Canadian Overadvances and the Canadian Protective Advances.

  • Existing Revolving Loans has the meaning specified in Section 2.16(a).

  • Pending Revolving Loans means, at any time, the aggregate principal amount of all Revolving Loans requested in any Notice of Borrowing received by the Agent which have not yet been advanced.

  • Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer.

  • Loans means the loans made by the Lenders to the Borrower pursuant to this Agreement.

  • Voluntary Prepayment means a prepayment of principal of Term Loans pursuant to Section 2.05(a) in any year to the extent that such prepayment reduces the scheduled installments of principal due in respect of Term Loans as set forth in Section 2.07 in any subsequent year.

  • Term Loan has the meaning specified in Section 2.01(b).

  • Permitted Prepayment Date means the Business Day after the second (2nd) anniversary of the first Payment Date

  • Reinvestment Prepayment Amount with respect to any Reinvestment Event, the Reinvestment Deferred Amount relating thereto less any amount expended prior to the relevant Reinvestment Prepayment Date to acquire or repair assets useful in the Borrower’s business.

  • Reinvestment Prepayment Date with respect to any Reinvestment Event, the earlier of (a) the date occurring twelve months after such Reinvestment Event and (b) the date on which the Borrower shall have determined not to, or shall have otherwise ceased to, acquire or repair assets useful in the Borrower’s business with all or any portion of the relevant Reinvestment Deferred Amount.
