Prime Team Member definition

Prime Team Member means an individual or entity that:

Prime Team Member means an entity or Joint Venture that: (i) is the Proponent Lead; (ii) has or will have a risk capital interest of at least 10 percent in Project Co.; (iii) will undertake at least 25 percent of the construction work based on total estimated construction costs of the Project;(iv) will play the lead design role for the Project; (v) will provide any of the financial advisory services; (vi) will play a lead role in the operation of the Project; or (vii) has been put forward by the Proponent as a Prime Team Member providing a critical or material portion of the design or construction in connection with the Project.

• A Prime Team Member of one Proponent, or any Person related thereto, may not be a Team Member (except as a lender in a non-financial advisory role) or otherwise participate in the Prequalification Submission of any other Proponent.

• A Proponent that becomes a Prequalified Party shall not make any material change to the role or scope of work to be performed by any Prime Team Member without the prior written consent of BLDC, acting in its discretion.

• For the purposes of this Conflict Of Interest, Confidential Information & Litigation Declaration, “Team Member” means an individual or entity that is a member of the Proponent’s team, including a Prime Team Member and a Key Individual.

• Each Prime Team Member of any Proponent is required to provide a certificate of an officer from such Prime Team Member in the form attached as FORM C-4 – Certificate of Officer of Schedule C.

• The organizational structure of the Prime Team Member responsible for operating the Project after substantial completionb.

More Definitions of Prime Team Member

Prime Team Member means an individual or entity that: (i) is the Project Development Prime Team Member; (ii) has or will have an equity interest of at least ten percent in Project Co; (iii) will undertake at least twenty-five percent of the construction work based on total estimated construction costs of the Project; (iv) will play the lead design role for the Project; (v) will undertake at least twenty-five percent of the maintenance and rehabilitation work based on total estimated maintenance and rehabilitation management costs of the Project; or (vi) any individual or entity that has been put forward by the Proponent to provide any financial advisory services or any critical or material portion of the design, construction or maintenance and rehabilitation in connection with the Project;

Prime Team Member means any entity that is a member of a Proponent’s team that is (or is an Affiliate of) an entity that is registered as a telecommunications service provider with the Canadian Radio-television and Telecommunications Commission;

Prime Team Member means a Person or firm expected to have or undertake 10% or more of the Project or equity in a Proponent;

Prime Team Member means a Proponent Team Member identified in the Prequalification Submission as being a “Prime Team Member”;

Prime Team Member means any Proponent Team Member that: (i) is the Proponent Lead;

Prime Team Member means an entity that: (i) is the proposed Applicant Lead; (ii) is proposed to have a risk capital interest of at least 10% in Project Co.; (iii) is proposed to undertake at least 25% of the construction work based on total estimated construction costs of the Project; (iv) is proposed to play the lead design role for the Project; (v) is proposed to undertake at least 25% of the facilities management work based on total estimated facilities management costs of the Project; (vi) is proposed to provide any of the financial advisory services; or (vii) has been put forward by the Applicant as a proposed Prime Team Member providing a critical or material portion of the Project.
