PRINT Improvements definition

PRINT Improvements means (a) any improvements or modifications to General Biological Effects; and/or (b) any Know-How to the extent related to PRINT or PRINT Confidential treatment has been requested with respect to portions of this agreement as indicated by “[***]” and such confidential portions have been deleted and filed separately with the Securities and Exchange Commission pursuant to Rule 24b-2 of the Securities Exchange Act of 1934, as amended. Tooling made or generated using PRINT or PRINT Tooling in connection with the manufacturing of Research Materials, Liquidia Respiratory Product, Research Products or Inhaled Products, in each case of (a) and (b) made by GSK, its Affiliates or sublicensees (for clarity, including Third Party manufacturer) under this Agreement but outside the Inhaled Plan, as well as any Patents claiming or covering any of the foregoing, in all cases, Controlled by GSK, its Affiliates, sublicensees or Third Party manufacturers.
PRINT Improvements means (a) any improvements or modifications to General Biological Effects; and/or (b) any Know-How to the extent related to PRINT or PRINT
PRINT Improvements means (a) any improvements or modifications to General Biological Effects; and/or (b) any Information to the extent solely related to PRINT Platform Technology and made or generated in connection with the manufacturing of PRINT Material or Licensed Products, made by either Party or the Parties jointly, and in each case of G&W, its Affiliates or sublicensees (for clarity, including Third Party manufacturers), under this Agreement, as well as any Patents claiming or covering any of the foregoing.

  • In addition, the license granted by GSK to Liquidia under PRINT Improvements under Section 5.5(b) shall continue and shall be expanded to include uses in the Liquidia Respiratory Field.

  • Liquidia will solely own all right, title and interest in and to (a) inventions, discoveries and other subject matter (including Know-How) created solely by or on behalf of Liquidia or its Affiliates in the performance of activities or the exercise of rights under this Agreement together with all intellectual property rights therein and (b) all Arising PRINT Improvements, in each case together with all intellectual property rights therein (“Liquidia Arising IP”).

  • The Parties shall jointly own all Know-How invented jointly by GSK or its Affiliates and Liquidia or its Affiliates together with all intellectual property rights therein, but excluding in each case all Arising PRINT Improvements (“Joint Arising IP”).

  • GSK hereby assigns to Liquidia all its right, title, and interest in and to all Arising PRINT Improvements.


More Definitions of PRINT Improvements

PRINT Improvements means (a) any improvements or modifications to General Biological Effects; and/or (b) any Know-How which constitutes an improvement or modification of PRINT or PRINT Tooling, in each case of (a) and (b) which is made or generated by or on behalf of GSK, its Affiliates or sublicensees (for clarity, including any Third Party manufacturer) under this Agreement, as well as any Patents claiming or covering any of the foregoing.

Related to PRINT Improvements

  • Joint Improvements means Improvements the inventors of which are jointly (a) employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) employees of, or others obligated to assign inventions to, Lilly or any Affiliate of Lilly.

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Project Improvements means site improvements and facilities that are:

  • Minimum Improvements means the acquisition of land and construction of a 64-unit market rate residential apartment building and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Tenant Improvements Defined in Exhibit B, if any.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Improvements shall have the meaning set forth in the granting clause of the Mortgage.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:
