Prior Transaction definition

Prior Transaction means a transaction concluded prior to the commencement of this Act that would otherwise fall within the scope of this Act; and

Prior Transaction means any transaction relating to the acquisition or disposition, directly or indirectly, by the Company or any of its Subsidiaries of any assets.

Prior Transaction has the meaning set forth in Section 5.8(g).

Examples of Prior Transaction in a sentence

For purposes of this Agreement as well as re-affirming the representations and warranties contained in the Prior Transaction Documents, the term "Transaction Documents" as used herein and therein shall mean the Prior Transaction Documents together with this Agreement.
All of such representations and warranties shall survive the closing of the transactions contemplated by the Prior Transaction Documents and this Agreement.
A default by the Borrower of a material term, covenant, warranty or undertaking of any other agreement to which the Borrower and Holder are parties, including but not limited to in connection with the Prior Transaction, or the occurrence of a material event of default under any such other agreement to which Borrower and Holder are parties which is not cured after any required notice and/or cure period.
The PUTI is a combination of Namespace and Prior Transaction Identifier.
To the Knowledge of the Company, since the Prior Transaction Date all material transactions between the Company and the Interested Parties that require approval pursuant to the Organizational Documents or Contracts have been approved in accordance with such requirements.

Prior Transaction means the transactions entered into by the Parties and certain of their Affiliates in connection with the Share Purchase Agreement, dated July 21, 2000, by and between, among others, ITI and SBS.

Prior Transaction means the transaction, in February 2023, where GGR Holdings indirectly acquired all of the Aera Companies’ outstanding equity interests from the Prior Owners.
