For purposes of this Agreement as well as re-affirming the representations and warranties contained in the Prior Transaction Documents, the term "Transaction Documents" as used herein and therein shall mean the Prior Transaction Documents together with this Agreement.
All of such representations and warranties shall survive the closing of the transactions contemplated by the Prior Transaction Documents and this Agreement.
