Prior Transaction Documents definition

Prior Transaction Documents means the documents listed on Schedule A.

Prior Transaction Documents means collectively (i) that certain Share Subscription Agreement dated July 12, 2016 by and among the Company, Tencent and certain other parties thereto, (ii) that certain Subscription Agreement dated December 8, 2017 by and among the Company, Tencent Music Entertainment Hong Kong Limited, Spotify Technology S.A. and Spotify AB, (iii) the share subscription agreements entered into by the Company and the purchasers thereunder, pursuant to which an aggregate of 119,394,895 Ordinary Shares were issued to the purchasers, the forms of which were approved by the Board on December 29, 2017, (iv) the share subscription agreements entered into by the Company and each of Sony Music Entertainment and WMG China LLC on October 1, 2018, (v) the Prior SHAs, and (vi) any other agreement, document or instrument required to be executed and delivered in connection with the transactions contemplated by any of the foregoing.

Prior Transaction Documents means the Transaction Documents as defined in the Prior SPA.

Examples of Prior Transaction Documents in a sentence

• All of such representations and warranties shall survive the closing of the transactions contemplated by the Prior Transaction Documents and this Agreement.

• For purposes of this Agreement as well as re-affirming the representations and warranties contained in the Prior Transaction Documents, the term "Transaction Documents" as used herein and therein shall mean the Prior Transaction Documents together with this Agreement.

• The Company has not, directly or indirectly, made any agreements with any Holders relating to the terms or conditions of the transactions contemplated by the Transaction Documents or the Prior Transaction Documents except as set forth in the Transaction Documents and the Prior Transaction Documents.

• For the avoidance of doubt, except for the matters expressly set forth in the Transaction Documents, all other terms of the Prior Transaction Documents are hereby ratified and shall remain unchanged and in full force and effect.

• Purchaser acknowledges that the Agent also serves in a similar capacity as agent under the Prior Transaction Documents, and Purchaser agrees that any actions that the Agent takes when acting in that capacity shall not be and shall not be deemed to be a conflict with his responsibilities hereunder.

More Definitions of Prior Transaction Documents

Prior Transaction Documents means the Transaction Documents relating to, and as such term is defined in, each of the Note Purchase Agreements, dated March 18, 2013 and February 28, 2014, between the Borrower and Purchaser including, without limitation, the Prior Sigma Notes.

Prior Transaction Documents is defined in Section 4.26(a).

Prior Transaction Documents means the Securities Purchase Agreement dated as of January 5, 2006 among the Company and the buyers named therein and the other transaction documents entered into in connection therewith, as the same may be amended from time to time in accordance with the terms hereof and thereof.

Prior Transaction Documents has the meaning ascribed to the term “Transaction Documents” in the Prior Contribution Agreement. “Reduced Assumed Debt” has the meaning set forth in Section 2.2.

Prior Transaction Documents means that certain Equity Interest Purchase Agreement entered into as of October 19, 2021, by and among GROVE, INC., a Nevada corporation, the Seller’s Predecessor, as “Buyer” , and Gyprock Holdings LLC, a Delaware limited liability company; MFA Holdings Corp., a Florida corporation; and Sherwood Ventures LLC, a Texas limited liability company, as Sellers, and any other certificate, document, instrument, stock or equity interest power, or agreement executed in connection therewith, and any assignment or other agreement related to the Target Equity Interests.

Prior Transaction Documents means the Prior Agreement, the Employment --------------------------- Agreements, the Management Agreement, the QTL Reorganization Documents and the EPI Stock Purchase Documents.
