Pro Rata Payment Amount definition

Pro Rata Payment Amount means, with respect to each CVR Payment and each Holder, an amount equal to such CVR Payment divided by the total number of CVRs and then multiplied by the total number of CVRs held by such Holder as reflected on the CVR Register.
Pro Rata Payment Amount means an amount, with respect to a Holder, equal to (i) a fraction, the numerator of which equals the total number of Contingent Value Rights held by such Holder on such date, and the denominator of which equals the total aggregate Contingent Value Rights issued and outstanding on such date, multiplied by (ii) the Proceeds payable to the Holders pursuant to Section 2.4.
Pro Rata Payment Amount for each Authorized Class Member will be determined by dividing the Authorized Class Member’s total number of Authorized Shares by the total of all Authorized Shares of all Authorized Class Members, and multiplying that fraction by the total amount of the Net Settlement Fund available for distribution.
