Product Registrations shall have the meaning set forth in Section 5.10 hereof.

Product Registrations means all licenses, permits, certificates, registrations and other authorizations and approvals granted by the competent Regulatory Authority and all applications and other submissions or supplements to any Regulatory Authority with respect to any of the foregoing held or made by Lundbeck or any of its Affiliates, to market and sell the Products, including without limitation, any and all 501(k)s, PMAs, PLAs, NDAs, ANDAs and MAs, Product and facility licenses, approvals or clearances related to the Products including any pending applications, all as described in Schedule C;

Product Registrations means (a) the approvals or registrations which have been received by the Seller and its Affiliates, for the investigation, clinical testing, sale, distribution and/or marketing of Product, and any applications therefor (including any NDAs and INDs), including those approvals and registrations set forth on Schedule 2.01(d), and (b) all dossiers, reports, data and other written materials filed by Seller and its Affiliates (or by Buyer on behalf of Seller or its Affiliates prior to the Signing Date) as part of such approvals, registrations, or applications.

Examples of Product Registrations in a sentence

Buyer shall use reasonable best efforts to assist Seller in the transfer of the Product Registrations, accept the transfer of the Product Registrations, formalize with Seller and any applicable Governmental Authority all necessary documents, and complete the transfer of all Product Registrations as promptly as possible.
For the purpose of this Agreement, “Registration” shall mean ALL Product Registrations under this Company Number.
The Purchaser shall file, or shall cause to be filed, applications for the transfer of the Transferred Product Registrations for the Product in the Territory as soon as practicable after, and in any event within ninety (90) days after, the Closing Date.
Following the Closing, Purchaser shall use reasonable efforts to record as expeditiously as possible the transfer of the Product Registrations with the competent Regulatory Authorities in all the applicable countries, provided however, that the transfer of Product Registrations in Ex-USA Territories will be governed as described in Section 2.1(ii).
The Purchaser, or its Affiliates, shall bear the Third Party fees levied by the relevant Governmental Entity and any other relevant cost for (a) the maintenance of the Transferred Product Registrations and for the transfer to the Purchaser (or its Affiliates) after the Closing; and (b) any variations, amendments and renewals pursuant to Clauses 6.1(b) and 6.1(c) above.

Product Registrations means all registrations, permits, licenses, consents, authorizations, and other approvals, and pending applications and requests therefor, required by applicable Agencies related to the research, Development, manufacture, distribution, finishing, packaging, marketing, or sale of the Product within the Geographic Territory, including all Applications in existence for the Product as of the Closing Date.

Product Registrations means all Governmental Authorizations granted to a Conveyed Subsidiary or a Seller by, or pending with, any Governmental Authority and Related to the Business, to market any Product, including FDA drug listings, FDA Product Marketing Authorizations, other national or regional marketing authorizations or permits and XX xxxxx anywhere in the world. “Product Registrations” shall not include any Manufacturing Registrations.

Product Registrations means existing and future marketing and regulatory authorizations relating to the Products in the Territory including such authorizations relating to any and all existing and future uses for the Products, necessary for import, advertisement, marketing, distribution and sale of the Products.
