The Back- in Right will be a one-time right, exercisable at any time on or after the completion and delivery of a Feasibility Study to the Management Committee, but prior to the expiry of ninety (90) days following the Commercial Production Decision Date.
The Board shall meet within 120 days of receiving a Feasibility Study to decide whether to make a Production Decision.
The Note shall have a three-year term, and the amount of principal owing under the Note shall bear interest as follows: (a) five percent (5%) until the board of directors of the Company makes a Commercial Production Decision with regard to the Churchrock Project; and (b) ten percent (10%) thereafter.
