Examples of Prohibitive Order in a sentence
In the event a Prohibitive Order becomes final and non-appealable, the Expense Reimbursement Amount shall be returned to RSC absent an order of a court of proper jurisdiction to the contrary.
No Governmental Entity shall have enacted, issued or promulgated any applicable Law or Governmental Order or Prohibitive Order after the date of this Agreement that remains outstanding at the Offer Notice Date or the Acceptance Date, and/or that would require the terms of the Offer or any of the Transactions contemplated by this Agreement to be revised in any material aspect.
Each Party agrees to cooperate with the other and to take all action reasonably necessary to give full effect to the provisions and intent of this Agreement, including, without limitation, any action necessary to defend the validity and enforceability of Section 2 hereof and, if necessary, to seek the withdrawal or rescission of a Prohibitive Order.
There shall not be in effect on the Closing Date any Prohibitive Order.
There shall not be in effect on the Closing Date any preliminary or permanent Governmental Order (including a temporary restraining order), or any Law, prohibiting or making illegal the consummation of any of the transactions contemplated by, or the performance of, this Agreement (each, a “Prohibitive Order”), nor shall there be any Action threatened, pending or commenced for the purpose of obtaining a Prohibitive Order.
