Transaction Bonus Amount definition

Transaction Bonus Amount means an amount equal to (i) the aggregate Transaction Bonuses to be made to the recipients thereof in connection with the transactions contemplated by this Agreement, plus (ii) the aggregate Transaction Payroll Taxes incurred in connection with such Transaction Bonuses.
Transaction Bonus Amount means the aggregate amount of all change of control, bonus or retention payments (including the employer portion of any payroll Taxes attributable thereto) that are payable (pursuant to a pre-existing obligation or otherwise) by any Group Company to any Participant as a result of the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby, including those bonuses described on Exhibit 11.1(h).
Transaction Bonus Amount shall be a cash payment in an amount determined based on the satisfaction of performance goals related to a Sale, in each case to be determined and communicated to you in writing by the Leadership and Development and Compensation Committee of the Company’s Board of Directors (which communication will also set forth the timing of payment of the Transaction Bonus Amount).

More Definitions of Transaction Bonus Amount

Transaction Bonus Amount means the aggregate amount set forth in Section 15(a) of the Disclosure Schedule as a “Transaction Bonus” to be paid to the Transaction Bonus Recipients;
