Any action of the Project Operations Committee shall require the consent of both Sponsor Directors appointed to the Project Operations Committee.
If both Sponsor Directors do not unanimously agree on any matter before the Project Operations Committee after having met in an attempt to resolve such disagreement, either such Sponsor Director may refer the matter to the Board of Directors for decision.
