PropCo. VICI Properties L.P., a Delaware limited partnership.

PropCo means the newly formed limited partnership organized under the laws of Delaware, which on and after the Effective Date will hold, directly or indirectly, certain assets of the Debtors, a schedule of which assets shall be included in the Plan Supplement, which schedule shall be consistent in all material respects with the Bond RSA and otherwise reasonably acceptable to the Requisite Consenting Bond Creditors, the Requisite Consenting Bank Creditors, the Second Priority Noteholders Committee, the Unsecured Creditors Committee, CEC, and the Debtors.

PropCo means Studio City Developments Limited (formerly known as MSC Desenvolvimentos, Limitada and previously as as East Asia - Televisão por Satélite Limitada), a company incorporated under the laws of the Macau SAR, registered with the Macau Commercial Registry under number 14311 SO, with registered office at Xxx xx Xxxxx, xxx 000-000, Edifício Flower City, 1° andar, A1, Taipa, Macau.

• Notwithstanding anything in this Agreement to the contrary, if the deed of conservation easement has been recorded, the Manager may approve the sale or other disposition of the Real Property by Propco.

PropCo means Xxxxxxx Rock Property, LLC, a Georgia limited liability company. “Propco Units” shall mean the units of membership interest in Propco.
