Property Owner Guaranty definition

Property Owner Guaranty in Subsection 2.6.1.1 is amended to include the First Amendment to Property Owner Guaranty Agreement (as hereinafter defined).
Property Owner Guaranty has the meaning set forth in Section 2.6.1 hereof.
Property Owner Guaranty means that certain Property Owner Guaranty, dated as of the date hereof, by the Property Owners in favor of the Indenture Trustee.

  • The Issuer Member shall at all times comply, and will cause the Issuer and Property Owners to comply, with each of the applicable representations, warranties, and covenants contained in this Indenture (including any Series Supplement) and the Property Owner Guaranty, as applicable, as if such representation, warranty or covenant was made directly by the Issuer Member.

  • The Issuer shall maintain or cause to be maintained an office or agency in the continental United States where notices and demands to or upon the Issuer and the Property Owners in respect of the Notes, this Indenture, the Property Owner Guaranty and the Mortgages may be served.

  • Nothing in this Section 4.06 shall be construed to limit the Indenture Trustee, on behalf of the Noteholders, from exercising its rights hereunder and otherwise in accordance with Article IV of the Master Indenture with respect to the Collateral Pool or under the Property Owner Guaranty with respect to the Guaranty Collateral Pool.

  • None of the lien of the Mortgages, the Property Owner Guaranty and this Indenture nor any rights or remedies of the Indenture Trustee, or the Noteholders shall be impaired by the recovery of any judgment by the Indenture Trustee against any Issuer or by the levy of any execution under such judgment upon any portion of the Issuer Collateral Pool or Collateral Pool, as the case may be.

Related to Property Owner Guaranty

  • Seller Guaranty means a guaranty of payment and performance issued by a Seller Guarantor in the form attached to this Agreement as Exhibit V or in such other form as may be acceptable to Purchaser acting reasonably.

  • Completion Guaranty means the Completion Guaranty of even date herewith executed by Guarantor in favor of Lender in connection with the Capital Improvement Work and the Loan, as amended from time to time.

  • Lease Guaranty A guaranty of certain obligations of Tenant under this Lease executed and delivered by each Guarantor substantially in the form of Exhibit G annexed hereto.

  • Parent Guaranty means the guaranty of the Parent pursuant to Section 15.

  • Property Owner means any person shown as the owner of land on the last equalized assessment roll or otherwise known to be the owner of land by the city council. “Business owner” means any person recognized by the city as the owner of the business. “Owner” means either a business owner or a property owner. The city council has no obligation to obtain other information as to the ownership of land or businesses, and its determination of ownership shall be final and conclusive for the purposes of this part. Wherever this part requires the signature of the property owner, the signature of the authorized agent of the property owner shall be sufficient.   • Ground Leases Those certain leases with respect to real property that is a portion of the Leased Property, pursuant to which Landlord is a tenant and which leases have either been approved by Tenant or are in existence as of the date hereof and listed on Schedule A hereto.

  • Holdings Guaranty means the Holdings Guaranty made by Holdings in favor of the Administrative Agent on behalf of the Secured Parties, substantially in the form of Exhibit F-1.

  • Environmental Agreement means the Environmental Indemnification and Release Agreement of even date herewith by and between Borrower and Lender pertaining to the Property, as the same may from time to time be extended, amended, restated or otherwise modified.

  • Subsidiary Guaranty means the Subsidiary Guaranty made by the Subsidiary Guarantors in favor of the Administrative Agent and the Lenders, substantially in the form of Exhibit G.

  • Financing Lease means any lease of property, real or personal, the obligations of the lessee in respect of which are required in accordance with GAAP to be capitalized on a balance sheet of the lessee.
