Protected Communications has the meaning set forth in Section 9.15(b).
Protected Communications means, at any time, any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that shall have occurred between or among any of Sellers, the Companies or any of their respective Associated Persons (including Xxxxx Xxxxx) relating to or in connection with this Agreement, the events and negotiations leading to this Agreement, any of the transactions contemplated herein or any other potential sale or transfer of control transaction involving the Companies.
Protected Communications shall have the meaning set forth in Section 5.9.
Examples of Protected Communications in a sentence
Each Party understands and agrees that it has undertaken reasonable efforts to prevent the disclosure of Protected Communications.
Notwithstanding those efforts, the Parties understand and agree that the consummation of the transactions contemplated hereby could result in the inadvertent disclosure of Protected Communications.
The Parties further understand and agree that any disclosure of any Protected Communications shall not waive or otherwise prejudice any claim of confidentiality, privilege, or protection from disclosure.

Protected Communications means, at any time, any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that shall have occurred between or among the Sellers, the Company, or any of their respective Affiliates, on the one hand, and Holland & Knight LLP, on the other hand, to the extent relating to this Agreement and the transactions contemplated hereby which, immediately prior to the Closing, was an attorney-client privileged communications between such party, on the one hand, and the Holland & Knight LLP, on the other hand.
Protected Communications means any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that occurred prior to the Closing between or among any Transferred Company or their Subsidiaries, any of the Sellers or any of their respective Affiliates, equity holders, directors, officers, employees, agents, representatives, advisors and attorneys (including Lagos Carrillo, S.C.) relating to or in connection with the negotiation of this Agreement, the events and negotiations leading to this Agreement, any of the transactions contemplated hereby or any other potential sale or change of control transaction involving the any Transferred Company or its Subsidiaries and that are considered to be entitled to the legal privilege for attorney client communications under applicable Law and professional rules.
Protected Communications means, at any time, any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that shall have occurred between or among any of the Latisys Companies, Seller, or any of their respective Affiliates, equity or holders, directors, officers, employees, agents, advisors (including DH Capital, LLC and Bank Street Group) and attorneys (including Xxxxx Lord LLP, or any successor law firm) to the extent relating to this Agreement, the events and negotiations leading to this Agreement, and of the transactions contemplated herein or any other potential sale or transfer of control transaction involving the Latisys Companies.
Protected Communications means any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that occurred prior to the Closing between or among any Transferred Company or their Subsidiaries, any of the Sellers or any of their respective Affiliates, equity holders, directors, officers, employees, agents, representatives, advisors and attorneys (including GCA Law Partners LLP) relating to or in connection with the negotiation of this Agreement, the events and negotiations leading to this Agreement, any of the transactions contemplated hereby or any other potential sale or change of control transaction involving any Transferred Company or its Subsidiaries and that are considered to be entitled to the legal privilege for attorney client communications under applicable Law and professional rules.

Protected Communications means any and all communications in whatever form, whether written, oral, video, electronic or otherwise, that shall have occurred prior to the Closing between or among any of the Amtrol Companies, Company Securityholders, or any of their respective Affiliates, equityholders, directors, officers, employees, agents, advisors (including Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated), on the one hand, and attorneys (including Xxxxx Lord LLP, or any successor law firm), on the other hand, relating to or in connection with this Agreement, the events and negotiations leading to this Agreement, any of the transactions contemplated herein or any other potential sale or transfer of control transaction involving the Amtrol Companies that was considered in lieu of the transactions contemplated by this Agreement (an “Alternative Transaction”); provided, however, that in the event that a third-party claim is brought against Purchaser or an Amtrol Company in relation to or in connection with an Alternative Transaction, communications relating to or in connection with such Alternative Transaction shall no longer be Protected Communications.
