Proxy Shares definition
Proxy Shares means the shares of Class A Common Stock and Class B Common Stock to the extent that Liberty has the right to vote such shares pursuant to this Agreement; provided, that the number of Proxy Shares shall equal the number of shares of Class A Common Stock and Class B Common Stock that would cause the Voting Interest of Liberty to equal the Target Percentage; provided, further, that the maximum number of Proxy Shares shall not exceed the Proxy Percentage.
Proxy Shares means, effective upon the effective date specified in Section 1.1, all of the Equity Securities of the Company beneficially owned from time to time by Stockholders or their Permitted Transferees (as defined below).
Proxy Shares means such number of Shares held by Knight from time to time in excess of 10% of the outstanding number of Voting Shares of the Company at such time.

Stockholder shall not terminate, assign or otherwise cancel any proxy given for any Proxy Shares.

More Definitions of Proxy Shares
Proxy Shares means the Common Shares beneficially owned by LIC to the extent that Liberty has the right to vote such shares pursuant to this Agreement.
Proxy Shares in this Agreement shall mean all of the shares of capital stock of the Company that now are and hereafter be beneficially owned by any Stockholder, and any and all other shares or securities of the Company and any of its subsidiaries issued or issuable in respect thereof on and after the Signature Date.
