Pubco Articles definition

Pubco Articles means the memorandum and articles of association of Pubco substantially in the form set out in Annex C hereto.
Pubco Articles means the Amended and Restated Memorandum and Articles of Association of PubCo, as in effect on the Closing Date, as may be amended from time to time.
Pubco Articles means the current articles of association of Pubco, as amended and in effect under the Luxembourg Companies Act.

  • On or prior to the Closing Date, PubCo shall adopt the New PubCo Articles as its articles of association to the exclusion of the Existing PubCo Articles and all other prior articles of association.

  • Model Articles means the model articles for private companies limited by guarantee contained in Schedule 2 of the Companies (Model Articles) Regulations 2008 (SI 2008/3229) as amended prior to the date of adoption of these Articles;
