  • Seller does not have any contract, agreement or understanding with any person or entity to sell, transfer, or grant participations to such person, or to any third person or entity, with respect to the Pubco Common Shares.

  • Seller acknowledges that the Pubco Common Shares are subject to dilution for events not under the control of Seller.

  • The term “Warrant Price” as used in these Warrant Terms shall mean the price per share at which Pubco Common Shares may be purchased at the time a Warrant is exercised.

  • Without prejudice to the foregoing, Pubco shall not take any action which would result in any adjustment to the Warrant Price if, after giving effect thereto, the Warrant Price would be decreased to such an extent that the Pubco Common Shares to be issued on exercise of any Warrants could not, under any applicable law then in effect, be legally issued as fully paid.

  • Pubco shall at all times reserve and keep available a number of its authorized but unissued Pubco Common Shares that shall be sufficient to permit the exercise in full of all outstanding Warrants issued pursuant to this Agreement.

  • Notwithstanding any provision contained in this Agreement to the contrary, Pubco shall not issue fractional Pubco Common Shares upon the exercise of Warrants.

  • In the event that Pubco securities that are convertible into Pubco Common Shares are included in the offering, the calculations under this Section 2.1.4 shall include such Pubco securities on an as-converted to Pubco Common Share basis.

Related to Pubco Common Shares

  • Common Shares means the common shares in the capital of the Corporation;

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Common Share Price means the volume weighted average per share trading price of the Common Shares on the TSX for the 10 consecutive Trading Day period ending on the Trading Day immediately before the occurrence of a Trigger Event, or if the Common Shares are not then listed on the TSX, the principal stock exchange on which the Common Shares are then listed or quoted (being the stock exchange with the greatest volume of trading in the Common Shares during the previous six months), or if such shares are not listed or quoted on any stock exchange, or if no such trading prices are available, the Floor Price.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Common Share Reorganization has the meaning set forth in Section 4.1;
