Pubco Preferred Shares definition

Pubco Preferred Shares means the preference shares, par value $0.001 per share, of Pubco.

Pubco Preferred Shares means the convertible preferred shares of PubCo, which shall have identical terms and conditions as the DSAQ Preferred Shares.

Pubco Preferred Shares means shares of preferred stock, par value $0.0001 per share, of Pubco. “Pubco Shares” means the Pubco Common Shares and the Pubco Preferred Shares.

Examples of Pubco Preferred Shares in a sentence

• Each certificate previously evidencing shares of Purchaser Preferred Stock shall be exchanged for a certificate representing the same number of Pubco Preferred Shares upon the surrender of such certificate in accordance with Section 1.7. Each certificate formerly representing shares of Purchaser Preferred Stock (other those described in Section 1.6(f) below) shall thereafter represent only the right to receive the same number of Pubco Preferred Shares.

• Each certificate previously evidencing Purchaser Preferred Share shall be exchanged for a certificate representing the same number of Pubco Preferred Shares upon the surrender of such certificate in accordance with Section 1.7. Each certificate formerly representing Purchaser Preferred Shares (other those described in Section 1.6(f) below) shall thereafter represent only the right to receive the same number of Pubco Preferred Shares.

• Each certificate previously evidencing Purchaser Preferred Shares shall be exchanged for a certificate representing the same number of Pubco Preferred Shares upon the surrender of such certificate in accordance with Section 1.7. Each certificate formerly representing Purchaser Preferred Shares (other those described in Section 1.6(g) below) shall thereafter represent only the right to receive the same number of Pubco Preferred Shares.

• Each certificate previously evidencing shares of Purchaser Common Stock or Purchaser Preferred Stock shall be exchanged for a certificate representing the same number of Pubco Common Shares or Pubco Preferred Shares, respectively, upon the surrender of such certificate in accordance with this Section 1.7(b).

• Immediately prior to the issuance of the Contribution Consideration at Closing, the authorized capital stock of Pubco consists of 40,000,000 Pubco Common Shares of which 5,839,933 Pubco Common Shares are issued and outstanding, and 10,000,000 Pubco shares of preferred stock (the “Pubco Preferred Shares”), of which no Pubco Preferred Shares are issued and outstanding.

• Each certificate previously evidencing shares of DMAC Preferred Stock shall be exchanged for a certificate representing the same number of Pubco Preferred Shares upon the surrender of such certificate in accordance with Section 1.7. Each certificate formerly representing shares of DMAC Preferred Stock (other those described in Section 1.6(e) below) shall thereafter represent only the right to receive the same number of Pubco Preferred Shares.

• Each certificate previously evidencing shares of JWAC Preferred Stock shall be exchanged for a certificate representing the same number of Pubco Preferred Shares upon the surrender of such certificate in accordance with Section 1.7. Each certificate formerly representing shares of JWAC Preferred Stock (other those described in Section 1.6(g) below) shall thereafter represent only the right to receive the same number of Pubco Preferred Shares.
