Public Warrant Shares definition

Public Warrant Shares means the Ordinary Shares issuable upon exercise of the Public Warrants. “SEC” means the U.S. Securities and Exchange Commission.
Public Warrant Shares means the Ordinary Shares to be issued by the Company upon exercise of the public warrants, the terms of which are as described and defined in the Registration Statement.
Public Warrant Shares means the shares of Class A Common Stock underlying the Public Warrants.

  • With respect to the Public Warrants, a Cash Exercise in accordance with this Section 3.3.1 is available to the Registered Holder only during such times that there is an effective registration statement registering the Public Warrant Shares, with the prospectus contained therein being available for the resale of the Public Warrant Shares.

  • The Company authorizes the Underwriter and dealers to use the Prospectus in connection with the sale of the Offered Securities and the Public Warrant Shares, for such period as, in the opinion of counsel for the Underwriter, delivery of the Prospectus is required to comply with the applicable provisions of the Act and the Rules and Regulations.

  • For avoidance of doubt, if and when the Public Warrants become redeemable by the Company under this Section, the Company may exercise its redemption right, even if it is unable to register or qualify the Public Warrant Shares for sale under all applicable state securities laws.

  • We will not receive the proceeds from the resale of the Private Warrant Shares or the Public Warrant Shares hereunder; however, we will receive the proceeds from any exercise of the Private Warrants and the Public Warrants.

  • For purposes of clarification, whether or not the Company provides a Dilutive Issuance Notice pursuant to this Section 5.2, upon the occurrence of any Dilutive Issuance, the Holder is entitled to receive a number of Public Warrant Shares based upon the Base Share Price regardless of whether the Holder accurately refers to the Base Share Price in the Notice of Exercise.

  • The Company will treat an exercising Holder as a beneficial owner of the Public Warrant Shares as of the Exercise Date, except that, if the Exercise Date is a date when the stock transfer books of the Company are closed, such person shall be deemed to have become the holder of such shares at the open of business on the next succeeding date on which the stock transfer books are open.

  • No fractional Public Warrant Shares will be issued upon the exercise of the Public Warrant.

  • It is the option of each employer to implement a program that goes beyond the regulatory minimum.

Related to Public Warrant Shares

  • Public Warrants means the warrants included in the public units issued in the IPO, each of which is exercisable for one share of Common Stock, in accordance with its terms.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Common Shares means the common shares in the capital of the Corporation;

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Private Warrants means the Warrants the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Common Stock means the common stock of the Company.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years from the initial exercise date, in substantially the form of Exhibit A attached hereto.
