Promptly following the final determination in accordance with this Article XI of any claim for indemnification made by any Purchaser Group Member, upon request by Purchaser, Sellers shall execute and deliver a certificate requesting the Indemnity Escrow Agent to deliver by wire transfer to an account designated by Purchaser immediately available funds in the amount of such claim as finally determined in accordance with this Article XI (not to exceed the Indemnity Escrowed Funds).
Purchaser shall have the right to notify the Indemnity Escrow Agent of any claim for indemnification made by any Purchaser Group Member pursuant to this Article XI.
There is no Legal Proceeding in progress, pending, or, to the knowledge of the Purchaser Group, threatened against or affecting any Purchaser Group Member and there is no Order outstanding against or affecting any Purchaser Group Member which, in any such case, affects adversely the ability of any Purchaser Group Member to enter into this Agreement or to perform its obligations hereunder.
This Agreement constitutes a valid and binding obligation of each Purchaser Group Member enforceable against each Purchaser Group Member in accordance with its terms, subject to the Bankruptcy and Equity Exception.
The execution and delivery of this Agreement and all other agreements and instruments to be executed by each Purchaser Group Member as contemplated herein and the completion of the transactions contemplated by this Agreement and all such other agreements and instruments have been duly authorized by all necessary corporate action on the part of each Purchaser Group Member.
