Purchaser Group Member definition

Purchaser Group Member means Purchaser, the Purchaser Designees and, after Closing, any Transferred Company, and their respective Subsidiaries and Affiliates and their respective directors, officers, employees, representatives, agents, attorneys and consultants and their successors and assigns.

Purchaser Group Member means the IPC Companies, Purchaser, each of their respective Affiliates and each of their respective directors, officers, employees, agents, successors and assigns.

Purchaser Group Member has the meaning specified in Section 11.1(a).

The Purchaser Group Member shall have the burden of proof in establishing the amount of Loss suffered by it.
Notwithstanding the foregoing, the Purchaser Group Member shall have the right to pay, settle or compromise any such Third Person Claim without such consent, provided, that in such event the Purchaser Group Member shall waive any right to indemnity therefor hereunder unless such consent is unreasonably withheld.

Promptly following the final determination in accordance with this Article XI of any claim for indemnification made by any Purchaser Group Member, upon request by Purchaser, Sellers shall execute and deliver a certificate requesting the Indemnity Escrow Agent to deliver by wire transfer to an account designated by Purchaser immediately available funds in the amount of such claim as finally determined in accordance with this Article XI (not to exceed the Indemnity Escrowed Funds).

Purchaser Group Member means any of them individually.

Purchaser Group Member means each of Purchaser, its Affiliates and their respective directors, officers, employees, agents and attorneys and their respective successors and assigns.

Purchaser Group Member means any corporation, partnership, joint venture, limited liability company, unincorporated association, trust or other entity within the Purchaser Group.

Purchaser Group Member means Purchaser or any Purchaser Affiliate;

Purchaser Group Member means Purchaser Parent or the Purchaser.

Purchaser Group Member shall have the meaning set forth in Section 9.02(e).
