Purchaser IP definition

Purchaser IP means all Intellectual Property Rights and Intellectual Property in which the Purchaser has (or purports to have) an ownership interest or an exclusive license or similar exclusive right.
Purchaser IP means all Intellectual Property owned, used, held for use, or exploited by the Purchaser or any of its Subsidiaries, including all Owned Purchaser IP and Licensed Purchaser IP.
Purchaser IP shall have the meaning set forth in Section 4.18(a).

  • Except for the nonexclusive licenses and rights granted in Contracts identified in Part 3.8(a)(iv) of the Purchaser Disclosure Schedule, the Purchaser is not bound by, and no Purchaser IP is subject to, any Contract containing any covenant or other provision that in any way limits or restricts the ability of the Purchaser to use, exploit, assert, or enforce any Purchaser IP anywhere in the world.

  • The Purchaser owns, free and clear of all Liens (other than Permitted Liens), has valid and enforceable rights in, and has the unrestricted right to use, sell, license, transfer or assign, all Intellectual Property currently used, licensed or held for use by the Purchaser, except for the Intellectual Property that is the subject of the Purchaser IP Licenses.

  • Supplier further acknowledges and agrees that all such Purchaser IP that is protectable by copyright is and at all times shall be considered to be a “work made for hire” as that term is defined in the United States Copyright Act (and if not deemed a work made for hire, then transferred pursuant to this Section).

  • Supplier hereby waives any and all of its moral rights that Supplier may have in any Purchaser IP, and any and all of its rights that Supplier may have in certain resale proceeds of certain of any Purchaser IP that may be deemed to be literary works.


More Definitions of Purchaser IP

Purchaser IP means all Intellectual Property Rights that are owned or purported to be owned by, assigned to, or exclusively licensed by Purchaser or its Subsidiaries, including without limitation, all Purchaser Registered IP.
Purchaser IP means any and all Intellectual Property owned by Purchaser or any of its Affiliates at any time after the Closing and any other Intellectual Property (other than Patents and Trademarks) that are Licensable by Purchaser or any of its Affiliates at any time after the Closing.

Purchaser IP shall have the meaning provided in Section 5.9 hereof.

Purchaser IP means all patents, trademarks, service marks, logos, trade names, Internet domain names, copyrights (including rights in computer software) trade secrets and know-how and other intellectual property rights, in each case whether registered or unregistered, and all rights or forms of protection having equivalent or similar effect anywhere in the world.
