As indicated in its Purchaser Schedule delivered to the Company, at the time such Purchaser was offered the Notes, and as of the date of this Agreement, such Purchaser is (i) an institutional “accredited investor” as defined in 501(a)(1), (2), (3), (7), (8), (9), (12) or (13) (for (13), only family clients that are institutions) under the Securities Act, (ii) a Qualified Institutional Buyer or (iii) an individual “accredited investor” as defined under Rule 501(a).
