Qualifying Trading Period definition

Qualifying Trading Period means any thirty (30) consecutive Trading Day period during which the daily trading volume of the Issuer Class A Shares on each Trading Day was at least one percent (1%) of the Issuer Class A Shares outstanding at the commencement of each such Trading Day.
Qualifying Trading Period means any thirty (30) consecutive Trading Day period during which the daily trading volume of the Issuer Class A Shares on each Trading Day was at least one percent (1%) of the Issuer Class A Shares outstanding at the commencement of each such Trading Day.​
Qualifying Trading Period means a thirty (30) consecutive full trading day period following the closing of a firmly underwritten public offering pursuant to an effective registration statement under the Securities Act covering the offer and sale of Common Stock for the account of the Company (an "IPO") that is not a Qualifying Public Offering during which a Qualifying Public Offering has not occurred and (i) the average of the high and low sales price of the Common Stock on each such day or, in the case no such sale takes place on any such day, the average of the closing bid and asked prices of the Common Stock for each such day, in each case (A) on the principal national securities exchange on which the shares of Common Stock are listed or to which such shares are admitted for trading or (B) if the Common Stock is not listed or admitted for trading on a national securities exchange, in the over-the-counter market as reported by the Nasdaq or any comparable system (such average price for each such Trading Day, the "STOCK PRICE"), is equal to or greater than the Qualified Common Stock Price or (ii) the average Stock Price for such period is equal to or greater than the Qualified Common Stock Price plus $0.10 (subject to adjustments for stock splits, stock dividends, reverse stock splits, including the 10 for 1 reverse stock split contemplated by the Restated Certificate filed or to be filed pursuant to the Series G Purchase Agreement, and the like).

Related to Qualifying Trading Period

  • Qualifying Period means 12 continuous Calendar Weeks during the whole or part of which the Agency Worker is supplied by one or more Temporary Work Agencies to the relevant Hirer to work temporarily for and under the supervision and direction of the relevant Hirer in the same role, and as further defined in the Schedule to these Terms;

  • Trading Period means the term as defined in the NEPOOL GIS Operating Rules.

  • Qualifying Transaction means a transaction where a CPC acquires Significant Assets, other than cash, by way of purchase, amalgamation, merger or arrangement with another Company or by other means.

  • Pre-Closing Period means any taxable period ending on or before the Closing Date.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.

  • Start-up Period means up to a maximum of 7 Academy Financial Years and covers the period up to and including the first Academy Financial Year in which all age groups are present at the Academy (that is, all the pupil cohorts relevant to the age-range of the Academy will have some pupils present).

  • Post-Closing Period means any taxable period (or portion thereof) beginning after the Closing Date.

  • Lock-up Period means the period beginning on the date hereof and continuing through the close of trading on the date that is 90 days after the date of the Prospectus (as defined in the Underwriting Agreement).

  • Issuance Period shall have the meaning specified in paragraph 2B(2).

  • Hire Period means the period commencing when the Customer holds the Hire Goods on hire (including Saturdays Sundays and Bank Holidays) and ending upon the happening of any of the following events:

  • Ramp Period The Ramp Period shall begin on the Effective Date and continue for a period of 3 months following the Effective Date. Commencing with the Effective Date and at all times during the Ramp Period thereafter, Customer will receive the rates, discounts, charges and credits set forth herein and will not be subject to the AVC. Annual Volume Commitment (“AVC”): $360,000 in Total Service Charges (“AVC”) during each contract year of the Term (following the expiration of the Ramp Period).

  • Founder Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier to occur of (A) one year after the completion of the Company’s initial Business Combination or earlier if, subsequent to the Company’s initial Business Combination, the last sales price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (B) the consummation by the Company of any subsequent liquidation, merger, stock exchange or other similar transaction, which results in all of the Company’s stockholders having the right to exchange their shares of the Common Stock for cash, securities or other property.

  • Nomination Period means a period of time that Customer includes in a nomination for gas service.

  • Retention Period means the minimum time that must pass after the creation, recording, or receipt of a record, or the fulfillment of certain actions associated with a record, before it is eligible for destruction.

  • Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.

  • Vesting Commencement Date means the Grant Date or such other date selected by the Committee as the date from which an Award begins to vest.

  • Lockup Period has the meaning set forth in Section 2.4(d)(i).

  • Ramp-Up Period means the period from and including the Effective Date to, but excluding, September 23, 2016.

  • Pre-Distribution Period means any Tax Period ending on or before the Distribution Date, and, in the case of any Straddle Period, the portion of such Straddle Period ending on the Distribution Date.

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Standstill Termination Date means the earlier of (i) the first anniversary of the Board Rights Termination Date and (ii) the later of (A) the third anniversary of this Agreement or (B) the first anniversary of the date on which both the Purchaser Designated Director has resigned from the Board and the Purchaser has permanently waived and renounced the Purchaser’s Board observation rights and Board designation rights in Section 1 and Section 2 of this Agreement.
