Shares Outstanding definition

Shares Outstanding means the aggregate of all Shares outstanding and all Shares issuable upon exercise of all outstanding Options and conversion of all outstanding Convertible Securities.

Shares Outstanding or "Shares then outstanding" means all shares of Common Stock outstanding and all shares of Common Stock issuable upon conversion, exercise or exchange of any option, warrant or other security or obligation which is, by its terms, convertible, exercisable or exchangeable into shares of Common Stock, whether or not such conversion, exercise or exchange has actually been effected.
