Rate Eligible Holder definition

Rate Eligible Holder means a Limited Partner subject to United States federal income taxation on the income generated by the Partnership. A Limited Partner that is an entity not subject to United States federal income taxation on the income generated by the Partnership shall be deemed a Rate Eligible Holder so long as all of the entity’s beneficial owners are subject to such taxation.

Related to Rate Eligible Holder

  • Eligible Holder means a Limited Partner whose (a) federal income tax status would not, in the determination of the General Partner, have the material adverse effect described in Section 4.9(a)(i) or (b) nationality, citizenship or other related status would not, in the determination of the General Partner, create a substantial risk of cancellation or forfeiture as described in Section 4.9(a)(ii).

  • Eligible Holders has the meaning set forth in Section 2.01(a).

  • Ineligible Holder is defined in Section 4.8(c).

  • Other Benchmark Rate Election means, if the then-current Benchmark is USD LIBOR, the occurrence of:

  • Notice of Interest Rate Election has the meaning set forth in Section 2.10.

  • Eurodollar Competitive Loan means any Competitive Loan bearing interest at a rate determined by reference to the LIBO Rate in accordance with the provisions of Article II.

  • LIBOR Tranche means the collective reference to LIBOR Rate Loans whose Interest Periods begin and end on the same day.

  • Discounted Prepayment Option Notice has the meaning specified in Section 2.05(d)(ii).

  • LIBOR Option has the meaning specified therefor in Section 2.12(a) of the Agreement.

  • Qualifying Holder shall have the meaning ascribed thereto in Section 12 hereof.

  • Modified Eligible Transferee means any bank, financial institution or other entity which is regularly engaged in or established for the purpose of making, purchasing or investing in loans, securities and other financial assets.

  • Interest Option has the meaning given such term in Section 2.5(c).

  • Other Holder has the meaning specified in Section 2.2(b).

  • LIBOR Interest Determination Date means the second LIBOR Business Day preceding each LIBOR Rate Reset Date.

  • Eligible Investor Either (i) a Qualified Institutional Buyer that is purchasing for its own account or for the account of a Qualified Institutional Buyer to whom notice is given that the offer, sale or transfer is being made in reliance on Rule 144A or (ii) an Institutional Accredited Investor.

  • Interest Rate Option means any LIBOR Rate Option or Base Rate Option.

  • Eligible Transferee means and include a commercial bank, financial institution or other "accredited investor" (as defined in Regulation D of the Securities Act).

  • Applicable Pledge Percentage means 100% but 65% in the case of a pledge by the Company or any Domestic Subsidiary of its Equity Interests in an Affected Foreign Subsidiary.

  • Subsequent Interest Period has the meaning specified in Section 307.

  • Rate Option means the Eurodollar Rate or the Floating Rate.

  • Applicable Multicurrency Percentage means, with respect to any Multicurrency Lender, the percentage of the total Multicurrency Commitments represented by such Multicurrency Lender’s Multicurrency Commitment. If the Multicurrency Commitments have terminated or expired, the Applicable Multicurrency Percentages shall be determined based upon the Multicurrency Commitments most recently in effect, giving effect to any assignments.

  • Forced Conversion Notice Date shall have the meaning set forth in Section 6(d).

  • Initial Stock Loan Rate means, in respect of a Share, the Initial Stock Loan Rate specified in relation to such Share in the applicable Pricing Supplement.

  • Reset Interest Period means each period from (and including) the First Call Date or any Reset Date and ending on (but excluding) the next Reset Date;
