Realization Date definition

Realization Date means, with respect to each Stock Unit allocated to a Participant’s Stock Unit Account, the first business day following the earlier of (i) the date five years after the end of the calendar year that includes the calendar quarter for which such Stock Unit is awarded to the Participant or in which such Stock Unit is credited to the Participant as a dividend equivalent, or (ii) the date the Participant has a Separation from Service, in either case subject to extension under Section 5(e).

Realization Date means, with respect to each Share Unit allocated to a Participant's Share Unit Account, the first business day following the earlier of (i) the first business day of the sixth calendar year after such Share Unit is awarded to the Participant, or (ii) either upon the date the Participant ceases to be a member of the Board or upon a change in control.

Realization Date is defined in Section 3(c).

Examples of Realization Date in a sentence

Realization Date shall have the meaning set forth in Section 1.4(a).

Realization Date means, with respect to each Share Unit allocated to a Participant’s Share Unit Account, the first business day following the earlier of (i) the date that is five years following the end of the calendar year that includes the calendar quarter for which such Share Unit is awarded to such Participant, or (ii) the date such Participant has a “separation from service” from the Company (within the meaning of Section 409A of the Internal Revenue Code of 1986, as amended) in connection with, or following, such Participant’s cessation of service on the Board.

Realization Date means, with respect to each Share Unit allocated to a Participant's Share Unit Account, the first business day following the earlier of (i) the date that is five years following the end of the calendar year that includes the calendar quarter for which such Share Unit is awarded to the Participant, or (ii) the date the Participant ceases to be a member of the Board.
