If Company or any of its Subsidiaries acquires any Leasehold Property, Company shall, or shall cause such Subsidiary to, cause such Leasehold Property to be a Recorded Leasehold Interest (unless otherwise permitted by Collateral Agent in its reasonable discretion).
To the extent not delivered on or prior to the Closing Date, Company shall, and shall cause each of its Subsidiaries to, use commercially reasonable efforts to deliver within 90 days after the Closing Date, for each Closing Date Mortgaged Property consisting of a Leasehold Property, evidence that such Leasehold Property is a Recorded Leasehold Interest.
In the case of each Leasehold Property, Borrower shall, and shall cause each applicable Subsidiary to, use its commercially reasonable best efforts to obtain and deliver (a) a fully executed Landlord Consent and Estoppel with respect thereto, and (b) evidence that such Leasehold Property is a Recorded Leasehold Interest.

In the case of any Effective Date Mortgaged Property consisting of a Material Leasehold Property and to the extent not previously delivered, (a) a Landlord Consent and Estoppel with respect thereto, and (b) evidence that such Material Leasehold Property is a Recorded Leasehold Interest.
