Redemption Assets. Collectively, the Collateral Obligations and Eligible Investments.
Redemption Assets means all cash and other assets which have been paid or delivered in respect of the redemption of any Affected Reference Notes, or to which a Notional Holder would be entitled upon completion of customary documentation and satisfaction of other conditions provided for under the termsof the Affected Reference Notes, to the extent that such actions by the Notional Holder would not cause it to incur any costs or expenses (including in respect of transfer fees and stamp duty) or risk of liability or loss. For the avoidance of doubt, Redemption Proceeds shall not include the redemption proceeds of a Series of Reference Notes which is redeemed in accordance with the documentation relating to the relevant Series of Reference Notes on the relevant Reference Notes Scheduled Maturity Date.

Examples of Redemption Assets in a sentence

  • Following the payment of the Dissolution Event Exercise Price or the Change of Control Exercise Price (as the case may be) to the Issuer, Türkiye Finans and the Issuer will purchase and sell, respectively, all of the Issuer’s interests, rights, benefits and entitlements in, to and under the Portfolio Assets or the Change of Control Redemption Assets (as the case may be).

  • These amounts could differ substantially if the value of the Redemption Assets changes between the Exceptional Valuation Day and the date on which they are disposed of.

  • We attach evidence hereto of our holding of Notes and represent that we have instructed our clearing system to block our interest in the Notes until the conclusion of a period beginning on the Business Day on which this notice is delivered to our clearing system and ending on (and including) the date on which the Early Redemption Assets are delivered to our account specified below.

  • If a Noteholder fails to do so, the obligations of the Bank to that Noteholder may be discharged either, if “Fallback Cash Redemption” applies, by fallback cash redemption at the market value of the Physical Redemption Assets determined by the Bank and if “Fallback Cash Redemption” does not apply, without any payment or Delivery.

Related to Redemption Assets

  • Redemption Proceeds means any proceeds in any applicable currency from a redemption in respect of the Charged Assets in accordance with the terms and conditions of such Charged Assets.

  • Redemption Value means, in respect of a Unit, the price per Unit at which such Unit is redeemed, calculated in accordance with the Trust Deed.

  • Redemption Day means the last Business Day of each week or such other day or days as the Directors may from time to time determine that Participating Shares in the Fund are available for redemption;

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Redemption Account means, in respect of ETP Securities, a bank account to receive payments in the Relevant Currency of the Optional Redemption Amount in respect of the redemption of such ETP Securities, which account shall be:

  • Redemption Notes means unsecured subordinated promissory notes of the Trust having a maturity date to be determined at the time of issuance by the Trustee (provided that in no event shall the maturity date be set at a date subsequent to the first Business Day following the fifth anniversary of the date of issuance of such note), bearing interest from the date of issue at a market rate of interest determined at the time of issuance by the Trustee, payable for each month during the term on the 15th day of each subsequent month with all principal being due on maturity, such promissory notes to provide that the Trust shall at any time be allowed to prepay all or any part of the outstanding principal without notice or bonus.

  • Redemption means with respect to any Debt, the repurchase, redemption, prepayment, repayment, defeasance or any other acquisition or retirement for value (or the segregation of funds with respect to any of the foregoing) of such Debt. “Redeem” has the correlative meaning thereto.

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Redemption Basket means 100,000 Units or such other number of Units as may be determined by the General Partner from time to time, redeemed by a Participant.

  • Redemption Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 5.1 hereof.

  • Redemption Rights means the redemption rights provided for in Section 9.2 of the SPAC Certificate of Incorporation.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Redemption Fund means the Redemption Fund for Refunded Notes created pursuant to Section 501 hereof.

  • Redemption Call Purchase Price has the meaning set out in Section 5.2(a).

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Redemption Payment Date As defined in Section 13.1.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Redemption Dates means, collectively, the Event of Default Redemption Dates, and the Optional Redemption Dates, each of the foregoing, individually, a Redemption Date.

  • Redemption Period means the period from, and including, the relevant Redemption Notice Date until the close of business on the second Scheduled Trading Day immediately preceding the related Redemption Date.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Mandatory Redemption Settlement Date means, in respect of a Mandatory Redemption Event, the day that falls three Currency Business Days after the day on which the Issuer has received payment in full from the Margin Loan Provider of the amounts payable in respect of the termination of the LS Margin Account Agreement.
