Redemption Election definition

Redemption Election means (1) a notice by the Holder to the Company substantially in the form set forth in EXHIBIT D or (2) a notice by the Holder to the Company included in the form of Inconvertibility Notice set forth in EXHIBIT C.
Redemption Election has the meaning set forth in Section 5.3(a).

  • A Holder may withdraw any Notice of Tax Redemption Election (other than such a deemed Notice of Tax Redemption Election) by delivering to the Paying Agent a written notice of withdrawal prior to the Close of Business on the second Scheduled Trading Day immediately preceding the Redemption Date (or, if the Issuer fails to pay the Tax Redemption Price on the Tax Redemption Date, such later date on which the Issuer pays the Tax Redemption Price).
