Redemption Sale definition

Redemption Sale has the meaning set forth in Section 11.03(f).
Redemption Sale shall have the meaning assigned to such term in Section 2.2(a)(iii).

Examples of Redemption Sale in a sentence

  • After a Sale Trigger, the Corporation shall take, and each of the other shareholders of the Corporation shall take pursuant to this Agreement, all reasonably necessary and desirable actions as are directed by the Redeemable Preferred Majority, except to the extent prohibited by applicable law, including without limitation taking all of the corporate actions contemplated above, in connection with the consummation of any such Redemption Sale.

  • If the anticipated closing date of the Redemption Sale shall be delayed, the Corporation shall promptly notify all holders of Series E Preferred Stock of the new anticipated closing date.

  • If a Redemption Sale is not consummated by the two year anniversary of the initial Redeemable Preferred Redemption Date, then the Redeemable Preferred Majority shall have the right after notice to the Corporation to force a Redemption Sale directly (a “Sale Trigger”).

  • The Corporation shall bear all of the costs of any actual or proposed Redemption Sale and such costs shall come out of the proceeds of such Redemption Sale (including without limitation a Redemption Sale after a Sale Trigger).

  • At least ten (10) business days but no more than sixty (60) business days prior to the anticipated closing of the Redemption Sale, the Corporation shall send a notice in accordance with Section 5(k) (a "Redemption Notice") to all holders of Series E Preferred Stock notifying them of the proposed Redemption Sale (including its basis terms and anticipated closing date) and of their right to require redemption of their Shares under this Section 6.

  • At least ten (10) business days but no more than sixty (60) business days prior to the anticipated closing of the Series E Redemption Sale, the Corporation shall send a notice in accordance with Section 5(g) (a "Series E Redemption Notice") to all holders of Series E Preferred Stock notifying them of the proposed Series E Redemption Sale (including its basis terms and anticipated closing date) and of their right to require redemption of their shares of Series E Preferred Stock under this Section 6(d).

  • If the anticipated closing date of the Series E Redemption Sale shall be delayed, the Corporation shall promptly notify all holders of Series E Preferred Stock of the new anticipated closing date.

Related to Redemption Sale

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Redemption Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 5.1 hereof.

  • Redemption means with respect to any Debt, the repurchase, redemption, prepayment, repayment, defeasance or any other acquisition or retirement for value (or the segregation of funds with respect to any of the foregoing) of such Debt. “Redeem” has the correlative meaning thereto.

  • Redemption Notice means a notice in a form approved by the Company by which a holder of Public Shares is entitled to require the Company to redeem its Public Shares, subject to any conditions contained therein.

  • Redemption Right has the meaning provided in Section 8.5(a) hereof.

  • Redemption Call Right has the meaning ascribed thereto in the Plan of Arrangement.

  • Redemption Conditions means, with respect to any payment of cash in respect of the principal amount of any Permitted Convertible Debt, satisfaction of each of the following events: (a) no Default or Event of Default shall exist or result therefrom, and (b) both immediately before and at all times after such redemption, Borrower’s Qualified Cash shall be no less than the sum of 150% of the outstanding Secured Obligations plus the Qualified Cash A/P Amount.
