The Warrant Agreement provides that, upon the occurrence of certain events, the Warrant Price, the Redemption Trigger Price (defined below) and the number of Warrant Shares purchasable hereunder, set forth on the face hereof, may be adjusted, subject to certain conditions.
In addition, in the event the Warrant Price is adjusted as provided above, the Redemption Trigger Price set forth in Section 6.1 hereof will be adjusted (to the nearest cent) to the Adjusted Warrant Exercise Price plus $6.50 (such adjusted Redemption Trigger Price, the “New Redemption Trigger Price”).

The Optional Redemption Response shall state whether the Corporation intends to redeem such Holder's Preferred Shares in the event that such Holder submits a Conversion Notice during the period of five (5) Business Days following the Business Day on which the Company delivers an Optional Redemption Response to such Holder (the "Optional Redemption Period") with a Conversion Price that is less than the Optional Redemption Trigger Price.
At its sole option, the Company may elect to redeem, the Warrants at any time following the last day of the first 30 consecutive Trading Day period in which the daily VWAPs Common Stock has been at least equal to the then applicable Redemption Trigger Price for at least 20 Trading Days (whether or not consecutive) (the “Redemption Price Condition”).
Following the determination by the board of directors, the Combined Company shall provide prompt public notice of the Adjusted Warrant Exercise Price and the New Redemption Trigger Price when and as determined.
The Warrant Price, Redemption Price, Redemption Trigger Price and the number of shares of Warrant Stock that may be purchased upon exercise of this Warrant shall be subject to adjustment from time to time as set forth in this Section 5.
