The Escrow Agent has created on its books a special trust fund and irrevocable escrow to be known as the Refunding Account.
The Deposit Trustee shall hold and administer, pursuant to the Exit 10 Resolution, the Exit 10 Construction Account and the Exit 10 Refunding Account.
If, for any reason, at any time, the cash balances on deposit or scheduled to be on deposit in the Refunding Account shall be insufficient to transfer the amounts required by the Paying Agent to make the payments set forth in Section 3.2, the District shall timely deposit in the Refunding Account, from any funds that are lawfully available therefor, additional funds in the amounts required to make such payments.

On the date of issuance of the Town Bonds, a portion of the proceeds of the Town Bonds in the amount of $2,637,655.29 shall be deposited in the Exit 10 Refunding Account and immediately disbursed to the 1994 Bonds Paying Agent for payment of the 1994 Bonds.
