Register of Warrantholders definition

Register of Warrantholders means the register of Warrantholders required to be maintained pursuant to Condition 4.7; and
Register of Warrantholders means the Register of Warrantholders to be maintained by the Warrant Agent pursuant to Condition 4(F) below;
Register of Warrantholders means the register maintained by the Company of the holders of Warrants;

  • If the Exercise Date falls on a day on which the Register of Members and/or the Register of Warrantholders are closed or is not a business day, the Exercise Date shall be the next business day on which the Register of Members and Register of Warrantholders are open.

  • In addition, the Company shall also, no later than one (1) month before the expiry of the Noteholder Warrants Exercise Period, take reasonable steps to notify the Noteholder Warrantholders in writing of the expiry of the Noteholder Warrants Exercise Period, and such notice shall be delivered by post to the registered address of the Noteholder Warrantholder as maintained in the Register of Warrantholders.

  • Title to the Warrants passes only by transfer and registration in the Register of Warrantholders as described in Condition 5.

  • In addition, the Company shall also, no later than one (1) month before the expiry of the Rights Warrants Exercise Period, take reasonable steps to notify the Rights Warrantholders in writing of the expiry of the Rights Warrants Exercise Period, and such notice shall be delivered by post to the registered address of the Rights Warrantholder as maintained in the Register of Warrantholders.

  • The Company willmaintain the Register of Warrantholders and except as may be ordered by a court of competent jurisdiction or as required by law, the registered holder of Second Tranche Warrants will be deemed to be and be treated as the absolute owner thereof for the purpose of giving effect to the exercise of the rights constituted by the Second Tranche Warrants and for all other purposes.

  • The Warrantholder specified in the Register of Warrantholders to be maintained by the Company shall remain the registered holder of the Restructuring Warrants until the name of the transferee is entered in the Register of Warrantholders.

  • The Issuer shall have delivered to the Purchaser a certified copy of the Register of Bondholders (as defined in Condition 1.2 of the Terms and Conditions of the Bonds) and a certified copy of the Register of Warrantholders (as defined in Condition 1.1 of the Terms and Conditions of the Warrants).

Register of Warrantholders means the register to be kept at the Issuer’s registered office on which the names and addresses of the holders of the Warrants and the particulars of the Warrants held by them and of all transfers of the Warrants are entered in accordance with the terms of the Warrant Instrument;

Related to Register of Warrantholders

  • Registered Warrantholders means the persons who are registered owners of Warrants as such names appear on the register, and for greater certainty, shall include the Depository as well as the holders of Uncertificated Warrants appearing on the register of the Warrant Agent;

  • Register of Members means the register of Members maintained in accordance with the Statute and includes (except where otherwise stated) any branch or duplicate register of Members.

  • Register and Registrar Mean the register maintained and the registrar appointed pursuant to Sections 3.04 and 7.

  • Warrantholders or “holders” without reference to Warrants, means the warrantholders as and in respect of Warrants registered in the name of the Depository and includes owners of Warrants who beneficially hold securities entitlements in respect of the Warrants through a Book Entry Participant or means, at a particular time, the persons entered in the register hereinafter mentioned as holders of Warrants outstanding at such time;

  • Unit Register means the register of the Partnership for the registration and transfer of Limited Partnership Interests as provided in Section 4.5.

  • holder of a Warrant Certificate as used herein shall mean any person in whose name at the time any Warrant Certificate shall be registered upon the books to be maintained by the Warrant Agent for that purpose.

  • Share Register means the register of Holders maintained on behalf of the Trust by the Auction Agent in its capacity as transfer agent and registrar for the APS.

The list of Properties on the National Register of Historic Places in Florida is available from the Division.

  • Warrant Register shall have the meaning ascribed to such term in Section 4(c).

  • Shareholder of Record means the record owner of shares issued by an Investment Company or, in the case of joint ownership of such shares, all record owners, as designated (1) in the initial account application, or (2) in writing accompanied by a signature guarantee, or (3) pursuant to procedures as set forth in the Application.

  • Exchangeable Shares means the exchangeable shares in the capital of the Company, having the rights, privileges, restrictions and conditions set forth herein;

  • Securities Register and "Securities Registrar" have the respective meanings specified in Section 5.4.

  • International Register means the official collection of data concerning international registrations maintained by the International Bureau, which data the Agreement, the Protocol or the Regulations require or permit to be recorded, irrespective of the medium in which such data are stored;

  • Bond Register means the books for the registration, transfer and exchange of Bonds kept at the office of the Bond Registrar.

  • Branch Register means any branch Register of such category or categories of Members as the Company may from time to time determine.
