Regulatory Allocation definition

Regulatory Allocation has the meaning set forth in Section 3.06 of the Holdings LLC Agreement.

Examples of Regulatory Allocation in a sentence

• The items included in the calculation of Net Profits shall be determined in accordance with Section 4.3.2 and shall not include any items specially allocated under Section 5.2. If an item of income, gain, loss or deduction that has been included in the initial computation of Net Profits is subsequently subjected to a Regulatory Allocation or a Curative Allocation, Net Profits or Net Loss, as the case may be, shall be recomputed without regard to such item.

• Any other allocation required by Treasury Regulations under Section 704(b) that is not in accordance with the parties’ Sharing Ratios shall be treated as a Regulatory Allocation under this Section 8.2.

• Any reallocation of Net Loss pursuant to this Section ‎5.03(d) shall be subject to chargeback pursuant to the Regulatory Allocation provision of Section ‎5.03(c).

More Definitions of Regulatory Allocation

Regulatory Allocation shall have the meaning set forth in Section 7.04(a).

Regulatory Allocation means (i) any allocation made pursuant to Section 3.04(a) to the extent that such allocation is attributable to a prior distribution that is treated as a Nonrecourse Distribution (after taking into account Section 5.03(a); (ii) any allocation made pursuant to Section 3.04(b) to the extent that such allocation is attributable to a prior distribution that is treated as a Member Nonrecourse Distribution (after taking into account Section 5.02(b); (iii) any reallocation made pursuant to Section 3.04(d) or (e); or (iv) any allocation or reallocation made pursuant to Section 3.05.
