Regulatory Period definition

Regulatory Period shall have the meaning set forth in Section 2(g).

Regulatory Period means the period of time that is two hundred seventy (270) days (or such longer time as may be agreed between Owner and VICI) after the finalization and execution of a Sale Agreement or HLV Repurchase Sale Agreement, as the case may be.

• If there is a dispute among the Parties as to whether good faith, commercially reasonable efforts were used throughout the Regulatory Period, such dispute shall be resolved in accordance with the procedures set forth in Section 6 hereof, and such matter shall be submitted to arbitration in accordance with the procedures set forth in Section 6 hereof within twenty (20) days after the expiration of the Regulatory Period.

• If it is determined by the Arbitration Panel that Owner did not use good faith, commercially reasonable efforts throughout the Regulatory Period, then Owner shall pay to Propco the Value Loss Amount within sixty (60) days after such determination.

• If there is a dispute among the Parties as to whether good faith, commercially reasonable efforts were used by Owner or Propco throughout the Regulatory Period, or the Alternative Transaction Period, such dispute shall be resolved in accordance with the procedures set forth in Section 3 hereof.

• The Owner agrees to maintain the Assisted Property in compliance with the terms of this Grant Agreement, throughout the Regulatory Period.

More Definitions of Regulatory Period

Regulatory Period means with respect to any Series (i) the period from the Series Issuance Date therefor through and including the first Adjustment Date (the "Initial Regulatory Period") and (ii) following the Initial Regulatory Period until December 31, 2010, each period from and including each Adjustment Date through but excluding the following Adjustment Date.
