If the Relevant Conditions under the Option Agreement are not satisfied by the Target Date, either party shall at any time after the Target Date by notice in writing to the other party, have the right to rescind the Option Agreement and upon such written notice being delivered, the Option Agreement shall ipso facto cease and determine, and neither party shall have any further claim against the other for costs, damages, compensation or otherwise.
