Relevant Sale Shares definition

Relevant Sale Shares means, in relation to a Seller, those Shares which are to be sold by that Seller under this Agreement and in respect of which it is identified as a Seller in Schedule 1;
Relevant Sale Shares has the meaning given in Clause 16.3;
Relevant Sale Shares means, in respect of each Seller, the number of Sale Shares set out in column 3 of Part 1 of Schedule 1 ( Relevant Sale Shares and Relevant Consideration ) against such Seller’s name, being the number of relevant Sale Shares being sold by such Seller to the Purchaser under this Agreement;

Examples of Relevant Sale Shares in a sentence

  • The stamp duty for the sale and purchase of the Relevant Sale Shares shall be borne by the relevant Seller and the corresponding Buyer in equal proportion.

Related to Relevant Sale Shares

  • Relevant Share Capital means the relevant share capital of the Company (as that expression is defined in Section 67(2) of the 1990 Act);

  • Per Share Purchase Price equals $1.00, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Controlling shareholding means not less than 51% of the voting rights or paid up share capital in the Company/Consortium.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Share Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).
