Remarketing Election definition

Remarketing Election means an election by the Gas Purchaser pursuant to Section 5.3(b) to have its Daily Contract Quantities remarketed for the Remaining Term following the occurrence of a Remarketing Event.

Examples of Remarketing Election in a sentence

  • A Remarketing Election Notice shall be in substantially the form attached hereto as Exhibit G.

  • The Parties acknowledge and agree that the final Available Discount for any Reset Period following the Initial Reset Period will be determined on the applicable Re-Pricing Date, and that such Available Discount may differ from the estimate or estimates of such Available Discount provided to Gas Purchaser and the other Gas Purchasers prior to the applicable Remarketing Election Deadline.

  • If Gas Purchaser elects to have all or part of its Daily Contract Quantity remarketed for the Remaining Term following the occurrence of a Remarketing Event, Gas Purchaser shall provide written notice of such Remarketing Election to MMGA, the Gas Supplier and the Trustee (its “Remarketing Election Notice”) not later than the applicable Remarketing Election Deadline.

  • Any applicable Class B Limited Membership Interest for which no Class B Notice of Election is delivered on or prior to the Class B Remarketing Election Date will be deemed tendered for purchase in such Class B Remarketing.

  • The Parties acknowledge further that if such preliminary communications indicate that then-current market conditions do not support a discount at least equal to the Minimum Discount, such preliminary communications shall not give rise to a right for Purchaser to provide a Remarketing Election Notice.

  • This difference results in a rate change effect due to the higher statutory rate in 2019.

  • For the avoidance of doubt, remarketing fees of MMGA or the Gas Supplier shall not be charged to Gas Purchaser with respect to any Daily ContractQuantity subject to a Remarketing Election made by Gas Purchaser under this Section 5.3, and the Project Administration Fee shall not apply to any such Daily Contract Quantity for any period after the Delivery Period terminates.

  • If the Remarketing Agent cannot remarket the Remarketed Perpetual Preference Shares on the Second Remarketing Date, the Remarketing Agent will use its commercially reasonable efforts to remarket the Remarketed Perpetual Preference Shares at the same price on the sixteenth Settlement Period Trading Day after the last day of the Remarketing Election Period (which we refer to as the "Third Remarketing Date").

  • Form of Fundamental Change Repurchase Notice means the “Form of Fundamental Change Repurchase Notice” attached as Attachment 2 to the Form of Note attached hereto as Exhibit A.

  • Qualified Election Period means the six Plan Year period beginning with the Plan Year in which the Participant first becomes a Qualified Participant.
