Reorganized Equity definition

Reorganized Equity means the shares of common stock or other equity securities of Reorganized GMR authorized to be issued pursuant to the Plan and the Amended Organizational Documents, which shall be subject to the Restructuring Transactions as set forth in the Plan.
Reorganized Equity shall have the meaning set forth in Section 2.09.
Reorganized Equity. “Reorganized Equity” shall mean common shares of the parent of the Reorganized Debtors (“Reorganized NPC Parent”) to be issued on the Effective Date to holders of First Lien Secured Claims and holders of First Lien Secured Claims that subscribe for Rights Offering Shares upon conversion thereof.

  • Except for the Commitment Fee and Equity Incentive Program, and except as contemplated by the Plan, as of the Effective Date, the Company will not have issued, granted or entered into any commitment to issue or grant any options, warrants, rights or other securities convertible into or exchangeable or exercisable for shares of Reorganized Equity.

  • Management Incentive Plan The board of directors of the Reorganized Company will adopt a long-term management incentive plan (the “Management Incentive Plan”), which may include awards of fully diluted Reorganized Equity, options, restricted stock units, and/or other equity instruments in amounts and on terms to be determined in such Management Incentive Plan.


More Definitions of Reorganized Equity

Reorganized Equity. Means the new common shares of the ultimate parent of the Reorganized Debtors to be issued (i) on the Effective Date or (ii) as otherwise permitted pursuant to the Acceptable Plan pursuant to the Restructuring, in each case, in the event of a Stand-Alone Restructuring Plan; provided that, to the extent that the Stand-Alone Restructuring Plan is implemented through an asset sale, Reorganized Equity shall mean the new common shares of the ultimate parent of the entities acquiring substantially all of the then-existing assets of the Debtors.
Reorganized Equity means the shares of common stock of Reorganized McClatchy authorized pursuant to its certificate of incorporation, the form of which will be included in the Plan Supplement.
