Repurchasing Seller. As defined in Section 3.29(a).

  • The Repurchasing Seller shall not be permitted to terminate the Servicer or Special Servicer as servicer or special servicer of the related Repurchased Note.

  • The Special Servicer shall cause such related Repurchased Note to be specially serviced for the benefit of the Repurchasing Seller in accordance with the terms and provisions set forth in this Agreement and shall be entitled to any Special Servicing Fee, Work-out Fee or Liquidation Fee that would be payable to the Special Servicer under this Agreement.

  • All rights of the Lender under the Whole Loan will be exercised by the Servicer or Special Servicer on behalf of the Repurchasing Seller and the Companion Loan Holders to the extent of their respective interest therein (as a collective whole) in accordance with this Agreement, taking into account the interests of each of the holders of the Notes and the subordination of the Trust B Notes to the A Notes.

  • In no event shall the Repurchasing Seller transfer, sell, assign, hypothecate, participate or encumber its Loan Seller Percentage Interest to any Borrower Related Party or any Affiliate of any of the foregoing, and any purported transfer that violates this sentence will be void ab initio unless the portion of the Trust Loan remaining in the Trust is also being transferred, sold, assigned, hypothecated, participated or encumbered to any such Person.

  • If a Seller of a Joint Mortgage Loan (a "Repurchasing Seller") repurchases its respective Mortgage Note(s) (as such term is defined herein) (a "Repurchased Note"), the provisions of this Section 8.31 shall apply prior to the adoption, pursuant to Section 14.3(l), of any amendment to this Agreement that provides otherwise.

  • Repurchase Price means, with respect to any Loan, first taking the Book Value of the Asset at Bank Closing and either subtracting the Asset discount or adding the Asset premium, and subsequently adjusting that total by (i) adding any advances and interest on such Loan after Bank Closing, (ii) subtracting the total amount received by the Assuming Institution for such Loan after Bank Closing, regardless of how applied, and (iii) adding total disbursements of principal made by Receiver not otherwise included in the Book Value.

  • Transferring Stockholder has the meaning assigned to such term in Section 3.4(a).

  • Principal Stockholder Transferee means any Person who acquires voting stock of the Corporation from the Principal Stockholder (other than in connection with a public offering) and who is designated in writing by the Principal Stockholder as a “Principal Stockholder Transferee.”

  • Qualified buyer means an applicant who meets the criteria in section 4.
