Required Financing Amount definition

Required Financing Amount shall have the meaning set forth in Section 5.19(d).
Required Financing Amount has the meaning given to such term in Section 4.01(i).
Required Financing Amount means the amount of proceeds from the Financing that is sufficient (together with cash on hand and other available lines of credit of Parent) to satisfy all of Parent’s payment obligations required to be paid on the Closing Date hereunder and enable Parent to consummate the Transactions, including the payment of the Aggregate Consideration (including the amounts contemplated to be paid by Parent pursuant to Section 2.04(a)), and the payment of all associated costs and expenses (including any such costs and expenses incurred by Xxxxxx and Merger Sub and related to this Agreement and the transactions contemplated hereby).

Examples of Required Financing Amount in a sentence

  • For the avoidance of doubt, the Ownership Reduction Elections shall not be taken into account when determining whether the Required Financing Amount has been received for purposes of this Section 5.14.

  • This covenant shall expire upon the earlier to occur of (i) Financing equal to the Required Financing Amount shall have been raised by the Surviving Company or its Subsidiaries, and (ii) eighteen months after the Closing Date.


More Definitions of Required Financing Amount

Required Financing Amount means the amount by which $60,000,000 exceeds the sum of (a) the Purchase Price (assuming full performance by each Investor, other than PHS, of their obligations under this Agreement) and (b) all cash amounts received by the Company between the date of the Initial Closing and the date of the Additional Closing Notice (i) as consideration for any grant, sale, transfer, license, acquisition or disposition of intellectual property rights or other assets of the Company, (ii) in the form of debt or other equity financing (excluding any financing for construction of the manufacturing facility), (iii) from the sale of a royalty interest or similar transaction and (iv) from the exercise of any of the Common Warrants.

Related to Required Financing Amount

  • Refinancing Indebtedness means Indebtedness of the Issuer or any Restricted Subsidiary to refund, refinance, replace, exchange, renew, repay or extend (including pursuant to any defeasance or discharge mechanism) any Indebtedness existing on the date of this Indenture or Incurred in compliance with this Indenture including Indebtedness that refinances Refinancing Indebtedness; provided, however, that:

  • Credit Facilities means, with respect to the Issuer or any of its Restricted Subsidiaries, one or more debt facilities, including the Senior Credit Facilities, or other financing arrangements (including, without limitation, commercial paper facilities or indentures) providing for revolving credit loans, term loans, letters of credit or other long-term indebtedness, including any notes, mortgages, guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals, restatements or refundings thereof and any indentures or credit facilities or commercial paper facilities that replace, refund or refinance any part of the loans, notes, other credit facilities or commitments thereunder, including any such replacement, refunding or refinancing facility or indenture that increases the amount permitted to be borrowed thereunder or alters the maturity thereof (provided that such increase in borrowings is permitted under Section 4.09 hereof) or adds Restricted Subsidiaries as additional borrowers or guarantors thereunder and whether by the same or any other agent, lender or group of lenders.

  • Refinancing Term Loans means one or more Classes of Term Loans hereunder that result from a Refinancing Amendment.
