Required Governmental Consents definition

Required Governmental Consents has the meaning ascribed to it in Section 8.3 of Schedule V.

Required Governmental Consents means those certain consents required from Governmental Entities in connection with the consummation of the transactions contemplated herein and listed on Schedule 1.1(l) of the Disclosure Letter.

Required Governmental Consents means the Governmental Consents set forth on Schedule 1.1 hereto.

• None of the Required Governmental Consents or any other Governmental Consents required under applicable Law in connection with the consummation of the Mergers shall have imposed any Regulatory Actions that, individually or in the aggregate, would be reasonably likely to have a Regulatory Material Adverse Effect.

• Section 8.3 of the Disclosure Schedule is a complete list of such Required Governmental Consents, together with the name of the entity issuing each such Required Governmental Consent.

• For purposes of clarification, Pinnacle agrees that if necessary in order to obtain the Required Governmental Consents (as defined in Section 6.01(c)), Pinnacle will (A) sell, or agree to sell, hold or agree to hold separate, or otherwise dispose, or agree to dispose of, the Specified Assets or (B) conduct or agree to conduct its business in a particular manner unless such conduct has had or would reasonably be expected to result in a Specified Material Adverse Effect.

More Definitions of Required Governmental Consents

Required Governmental Consents has the meaning provided such term in Section 7.1(j).

Required Governmental Consents shall have the meaning given to that term in Section 10.5.

Required Governmental Consents means all consents required by Law or the terms of a Facility Permit to be obtained from Governmental Authorities to permit Sellers to sell and Purchaser to purchase the Purchased Assets, including all such consents as set forth on Section 3.1.5 of Sellers’ Disclosure Schedule.

Required Governmental Consents means, collectively, the Required Company Consents and the Required Parent Consents.

Required Governmental Consents means the reports, filings, registrations, notices, consents, approvals, waivers, and authorizations referred to in Section 3.5 (including Schedule 3.5 of the Disclosure Schedule) and Section 4.3.

Required Governmental Consents means, with respect to any Person, each governmental or other registration, filing, application, notice, transfer, consent, approval, order, qualification and waiver required under Applicable Law to be obtained by such Person by virtue of the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.
