Required Stockholders definition

Required Stockholders means, at the time of any determination, Stockholders who, at the Effective Time, will be or were entitled, subject to the provisions of Section 2.05, to receive Merger Consideration representing not less than 80% of the total Merger Consideration to be received by all Stockholders pursuant to Section 2.04.
Required Stockholders means Stockholders of at least a majority in number of Registrable Securities.
Required Stockholders means holders of Company Stock that hold (or, following the Effective Time, that held, as of immediately prior to the Effective Time), (a) at least a majority of the outstanding shares of Company Stock and (b) at least 66.67% of the outstanding shares of Series A Prime Preferred Stock.
