Requisite Regulatory Approval has the meaning set forth in Section 7.1(b).

More Definitions of Requisite Regulatory Approval

Requisite Regulatory Approval means approval by the insurance authorities in the States of Florida, Missouri, Nebraska and Wisconsin of the acquisition of greater than 9.9% of the total voting power of all shares of the Company entitled to vote generally in the election of directors by the "Warburg Purchasers" and the "H&F Purchasers" (as defined in the Shareholders Agreement) who are original signatories to the Shareholders Agreement.
Requisite Regulatory Approval means a Regulatory Approval for the Gen 1 Product or the Gen 2 Product (as the case may be) in the applicable country (or in the case of the EU, CE Mark Approval) with the labeling indications respectively set forth in the Gen 1 Product Specification or the Gen 2 Product Specification.
