The referring party nominates an Adjudicator, which nomination is either accepted or rejected by the other party. Appointment of the. [CALCULATION] [DETERMINATION] AGENT The [Calculation] [Determination] Agent is hereby appointed, and the [Calculation] [Determination] Agent hereby agrees to act, as [Calculation] [Determination] Agent in respect of each Series of Notes described in the Schedule hereto (the Relevant Notes) for the purposes set out in Clause 2 below, all upon the provisions hereinafter set out. The agreement of the parties hereto that this Agreement is to apply to each Series of relevant Notes shall be evidenced by the manuscript annotation and signature in counterpart of the Schedule hereto.
Appointment of the. DISTRIBUTOR LB agrees that during the term of this Agreement it will take all action which is required to cause the Contracts to comply as an insurance product and a registered security with all applicable federal and state laws and regulations. LB appoints LBSC and LBSC agrees to act as the principal underwriter for the sale of Contracts to the public, during the term of this Agreement, in each state and other jurisdiction in which such Contracts may lawfully be sold. LBSC shall offer the Contracts for sale and distribution at premium rates set by LB. Applications for the Contracts shall be solicited only by representatives duly and appropriately licensed or otherwise qualified for the sale of such Contracts in each state or other jurisdiction. LB shall undertake to appoint LBSC's qualified registered representatives as life insurance or annuity agents of LB. Completed applications for Contracts shall be transmitted directly to LB for acceptance or rejection in accordance with underwriting rules established by LB. Initial premium payments under the Contracts shall be made by check payable to LB and shall be held at all times by LBSC or its registered representatives in a fiduciary capacity and remitted promptly to LB. Anything in this Agreement to the contrary notwithstanding, LB retains the ultimate right to control the sale of the Contracts and to appoint and discharge life insurance agents of LB. LBSC shall be held to the exercise of reasonable care in carrying out the provisions of this Agreement.

Appointment of the. Organising Committee The Organising Committee is responsible for the overall organisation of the Tournament. The designated Host Nation shall appoint an Organising Committee, at least nine (9) months prior to the starting date of the Tournament they are hosting, with names to be forwarded to WGMA. A Chairman of the Organising Committee must be appointed at the outset. The Chairman should not be appointed to the position of Tournament Director or Umpire Manager for the Tournament. It is recommended that the ground manager of the Tournament venue is a member of the Organising Committee. The Organising Committee shall appoint a liaison officer as the prime point of contact for visiting teams whilst at the Tournament. It may also be appropriate to appoint additional liaison officers to make the visiting teams feel welcome and to ensure their stay is enjoyable.
Appointment of the. Adjudicator The Adjudicator, shall be appointed jointly by the Client and the Consultant within 30 days of the commencement date of the contract. If the parties cannot reach an agreement on the appointment of the Adjudicator, the Client will request the Appointing Authority designated in the SCC, to appoint the Adjudicator within 15 days of receipt of such request. Should the Adjudicator resign or die, or should the Client and the Consultant agree that the Adjudicator is not functioning in accordance with the provisions of the Contract, a new Adjudicator shall be jointly appointed by the Client and the Consultant. In case of disagreement between the Client and the Consultant, within 30 days, the Adjudicator shall be designated by the Appointing Authority at the request of either party, within 15 days of receipt of such request
