Reserved Territories definition

Reserved Territories means the countries or areas specified in the Commercial Terms (if applicable) and any other countries or areas in respect of which the Supplier informs the Distributor in writing that it has reserved to itself. Start Date: means the date this Agreement commences as set out in the Commercial Terms (if applicable) or when the first Order is accepted by the Supplier under these Terms (as unilaterally amended by the Supplier from time to time).
Reserved Territories means (i) the countries specified in Schedule X, comprising the countries in respect of which the Supplier has appointed an exclusive distributor and the countries which the Supplier has reserved to itself; and (ii) any other countries in respect of which the Supplier informs the Distributor by written notice that it has appointed or will appoint an exclusive distributor or has reserved to itself. The Distributor shall refrain from making active sales of Products to customers in Reserved Territories. For the purpose of this agreement, active sales shall be understood to mean actively approaching or soliciting customers, including, but not limited to, the following actions:
Reserved Territories means (i) the United States of America, which Cygnus has reserved to itself and the countries specified xxxxx://xxx.xxxxxxxxxxxxxxxxxx.xxx/intemational-distributors which comprise the countries in respect of which Cygnus has appointed distributors; and (ii) any other countries in respect of which Cygnus informs the Distributor by written notice that it has appointed or will appoint another distributor or has reserved to itself.

Examples of Reserved Territories in a sentence

  • The Distributor shall not make any active sales of the Products to customers (a) outside the Territory, (b) outside the Authorised Sales Channels, (c) in the Reserved Territories and (d) to Reserved Customers.

  • Distributor shall not sell or advertise the Products outside of the Territory UNLESS the Territory is within the European Union or Switzerland, in which case Distributor shall refrain from making active sales of the Products to Customers in the Reserved Territories.

More Definitions of Reserved Territories

Reserved Territories means the geographic areas specified in Exhibit 3 which DH has reserved for itself or for which DH has appointed an exclusive distributor and any additional geographic areas in respect of which DH informs the Distributor by notice in writing that it has reserved to itself or appointed an exclusive distributor.
