At the Closing, Purchaser shall cause to be delivered to the Escrow Agent: (a) as a contribution to the Adjustment Escrow Fund on behalf of Seller, an amount in cash equal to the Adjustment Escrow Amount; and (b) as a contribution to the Retention Escrow Fund on behalf of Seller, an amount in cash equal to the Retention Escrow Amount.
The Sellers’ Representative and Buyer each agree to promptly take commercially reasonable actions (including executing and delivering joint written instructions to the Escrow Agent) requested by the other to effect releases of the Working Capital Escrow Amount, the R&W Retention Escrow Amount, and Indemnification Escrow Amount from the Escrow Account, in each case in accordance with this Agreement and the Escrow Agreement.

Upon release of any of the Retention Escrow Amount to Buyer in accordance with the Escrow Agreement, Buyer will, in accordance with its standard processes unless it determines otherwise, pay the amount of such Retention Escrow Amount owed to each employee under his or her applicable Retention Agreement, net of applicable withholding taxes.
