Withholding Amount definition

Withholding Amount has the meaning set forth in Section 2.7; and

Withholding Amount means the minimum amount of withholding taxes including Federal, state and local income taxes and social security and Medicare taxes required to be withheld by the Company by the applicable taxing authorities, as the result of the exercise of an Option.

More Definitions of Withholding Amount

Withholding Amount means any amount determined by the Plan Administrator or the Company required by applicable law to be withheld for federal income tax withholding purposes. Generally, if a Shareholder fails to deliver to the Plan Administrator a valid taxpayer identification number and fails to certify to the Plan Administrator that such Shareholder is not subject to backup withholding, then the Plan Administrator is required by law to withhold taxes from the amount of Distributions payable to a Shareholder (including Participants). This requirement applies to Distributions reinvested in Shares pursuant to the DRP.

The obligations of the members of the Time Group and the TWX Group to provide Information to the other party in order to allow the administration of the TWX Equity Compensation Awards pursuant to this Article XV are set forth in Section 15.05 and Section 17.01. The rights and obligations of the Parties with respect to U.S. Tax deductions relating to the TWX Equity Compensation Awards shall be governed by Section 4.08 of the TMA.
