Revolving Credit Event of Default definition

Revolving Credit Event of Default means an Event of Default under and as defined in the Revolving Credit Agreement.
Revolving Credit Event of Default has the meaning specified in Section 11.1.
Revolving Credit Event of Default has the meaning ascribed to the termEvent of Default” in the Revolving Credit Agreement.

Examples of Revolving Credit Event of Default in a sentence

  • Any Revolving Credit Event of Default shall have occurred and be continuing; or (ii) any "termination event" under and as defined in the Receivables Sale Agreement as in effect on the Closing Date, or any event entitling the Persons financing the Receivables to stop funding the purchase of Receivables from all sellers of Receivables under any subsequent Receivables Sale Agreement, shall have occurred and be continuing.

  • After the occurrence and during the continuance of a Revolving Credit Event of Default, the Revolving Credit Agent shall receive for the benefit of the Revolving Credit Secured Parties, the Term Loan Agent and the Term Loan Lenders any dividends paid by any Subsidiaries of the Credit Parties and apply such dividends in accordance with Section 2.1 hereof, to the extent then applicable.

  • The occurrence and continuance, as applicable, of a Revolving Credit Event of Default or Term Loan Event of Default, upon the written request of the Priority Lien Agent delivered to the other Agent not less than five (5) Business Days prior to the proposed sale or disposition of any Collateral.

Related to Revolving Credit Event of Default

  • Letter of Credit Default means with respect to a Letter of Credit, the occurrence of any of the following events:

  • Credit Default Swap means any credit default swap entered into as a means to (i) invest in bonds, notes, loans, debentures or securities on a leveraged basis or (ii) hedge the default risk of bonds, notes, loans, debentures or securities.

  • Revolving Credit Extension Request shall have the meaning provided in Section 2.14(f)(ii).

  • Credit Event UPB With respect to any Credit Event Reference Obligation, the unpaid principal balance thereof as of the end of the Reporting Period related to the Payment Date that it became a Credit Event Reference Obligation.

  • Credit Event Notice means an irrevocable notice from the Issuer or the Swap Counterparty, as the case may be, to the other party (in the form and delivered in the manner described in the Default Swap) that describes a Credit Event that occurred on or after the Effective Date of the Default Swap.

  • Revolving Credit Facility means, at any time, the aggregate amount of the Revolving Credit Lenders’ Revolving Credit Commitments at such time.

  • Credit Event shall have the meaning assigned to such term in Section 4.01.

  • Specified Existing Revolving Credit Commitment shall have the meaning provided in Section 2.14(g)(ii).

  • Aggregate Outstanding Extensions of Credit as to any Lender with respect to any Type of Loan at any time, an amount equal to the sum of (a) the aggregate principal amount of all Loans of such Type made by such Lender then outstanding and (b) such Lender's Commitment Percentage of the L/C Obligations then outstanding.

  • Extension of Credit means, as to any Lender, the making of a Loan by such Lender or the issuance of, or participation in, a Letter of Credit by such Lender.

  • Revolving Credit Maturity Date means the date that is six years after the Closing Date, or, if such date is not a Business Day, the next preceding Business Day.

  • Revolving Credit Agreement means that certain Revolving Credit Agreement dated as of August 30, 2004 between the Company, certain of its Subsidiaries and the banks and financial institutions listed therein, as such agreement may be replaced, amended, supplemented or otherwise modified from time to time.

  • Revolving Credit Expiration Date means May 1, 2002, or any date to which it may be extended from time to time pursuant to the terms of Section 2.6 hereof.

  • Revolving Extensions of Credit as to any Revolving Lender at any time, an amount equal to the sum of (a) the aggregate principal amount of all Revolving Loans held by such Lender then outstanding, (b) such Lender’s Revolving Percentage of the L/C Obligations then outstanding and (c) such Lender’s Revolving Percentage of the aggregate principal amount of Swingline Loans then outstanding.

  • Revolving Credit Advance means an advance by a Bank to a Borrower as part of a Revolving Credit Borrowing and refers to a Base Rate Advance or a Eurocurrency Rate Advance, each of which shall be a “Type” of Advance.

  • Existing Revolving Credit Facility means the $600,000,000 (subject to increase in accordance with its terms) revolving credit facility evidenced by that certain Amended and Restated Revolving Credit Agreement dated as of June 14, 2022 by and among the Borrower, the Parent, the lenders from time to time party thereto as “Lenders”, and JPMorgan Chase Bank, N.A., as Agent.

  • Revolving Credit Facilities means the collective reference to the Dollar Revolving Credit Facility and the Alternative Currency Revolving Credit Facility.

  • Revolving Facility Maturity Date means, as the context may require, (a) with respect to the Revolving Facility in effect on the Closing Date, the fifth anniversary of the Closing Date and (b) with respect to any other Classes of Revolving Facility Commitments, the maturity dates specified therefor in the applicable Extension Amendment or Refinancing Amendment.

  • Total Revolving Extensions of Credit at any time, the aggregate amount of the Revolving Extensions of Credit of the Revolving Lenders outstanding at such time.

  • L/C Credit Extension means, with respect to any Letter of Credit, the issuance thereof or extension of the expiry date thereof, or the increase of the amount thereof.

  • Revolving Line Maturity Date is that date which is two (2) years following the Effective Date.

  • Additional Refinancing Lender has the meaning set forth in Section 2.15(a).

  • Refinancing Revolving Credit Commitments means one or more Classes of Revolving Credit Commitments hereunder that result from a Refinancing Amendment.

  • Revolving Loan Maturity Date means the earliest to occur of (i) the Maturity Date and (ii) the date on which the Revolving Loans become due and payable in accordance with Section 10.02.

  • Additional Revolving Credit Commitments means any revolving credit commitment added pursuant to Sections 2.22, 2.23 and/or 9.02(c)(ii).

  • Credit Event Amount With respect to each Payment Date, the aggregate amount of the Credit Event UPBs of all Credit Event Reference Obligations for the related Reporting Period.
