Right of Purchase definition

Right of Purchase means a Right of First Refusal, Right of First Negotiation, [others]. “Section 338 Election” shall have the meaning ascribed to such term in Section 9.09.

More Definitions of Right of Purchase

Right of Purchase or "option" means the right thus defined in ss. 375 of the Hungarian Civil Code;
Right of Purchase. The shareholders, on a prorata basis and in proportion to their corresponding interest percentages in the company's capital stock, will be entitled to the preemptive right of purchase, in case one of the shareholders wishes to sell its shares to third parties that are not shareholders.

Related to Right of Purchase

  • Notice of Purchase means, as the context requires, a Preliminary Notice of Purchase or a Final Notice of Purchase, in each case, substantially in the form attached as Exhibit A to the VRDP Shares Purchase Agreement.

  • Right of First Refusal means the Company’s right of first refusal described in Section 8.

  • Right of First Offer has the meaning set forth in Section 8.7.

  • Right of First Refusal Agreement means the Right of First Refusal Agreement, dated as of August 4, 2017, among the Partnership, the Operating Partnership and NextEra Energy Resources, LLC.

  • Right of First Refusal and Co-Sale Agreement means the agreement among the Company, the Purchasers, and certain other stockholders of the Company, dated as of the date of the Initial Closing, in the form of Exhibit G attached to this Agreement.

  • Final Notice of Purchase means, in connection with an Optional Tender or a Mandatory Tender, a Notice of Purchase delivered by the Tender and Paying Agent to the Liquidity Provider (or directly to the Liquidity Provider by Beneficial Owners or their Agent Members, in the case of an Optional Tender, or Holders, in the case of a Mandatory Tender, if there is no Tender and Paying Agent or for any reason the Tender and Paying Agent does not perform its obligations) on the Purchase Date indicating the number of VRDP Shares to be purchased on such date pursuant to the Purchase Obligation, or, in connection with a Mandatory Purchase, the Mandatory Purchase Notice delivered by the Fund or the Tender and Paying Agent on behalf of the Fund.

  • Proof of Purchase means an original tax invoice clearly confirming a Purchase. The Proof of Purchase must clearly specify:

  • Exclusive Right to Sell listing means that if you, the owner of the property, find a buyer for your house, or if another broker finds a buyer, you must pay the agreed commission to the present broker.

  • Margin of purchase preference means the maximum extent to which the price quoted by a local supplier may be above the L1 for the purpose of purchase preference.

  • Preemptive Right has the meaning set forth in Section 9.6(a).

  • Preemptive Rights is defined in Section 4.8(b).

  • Alternate VRDP Shares Purchase Agreement means any agreement with a successor liquidity provider replacing the VRDP Shares Purchase Agreement (or any replacement therefor) upon its termination in accordance with its terms and containing a Purchase Obligation substantially similar to the Purchase Obligation therein, as determined by the Fund.

  • First Refusal Right means the right granted to the Corporation in accordance with Article E.

  • Call Rights As defined in Section 9.01(f).

  • Right of Repurchase means the Company’s right of repurchase described in Section 7.

  • Micro-purchase means a purchase of supplies or services, the aggregate amount of which does not exceed the micro-purchase threshold. Micro-purchases comprise a subset of a district's small purchases as defined in 2 C.F.R. 200.320.

  • Purchased Shares has the meaning set forth in Section 2.01.
